Alessandro is a Corporate Partner in the Milan office specializing in private equity and M&A transactions.

He has significant and long-standing experience assisting leading Italian and international companies, private equity funds,, and financial institutions in relation to deal structuring and a broad range of corporate law matters.

Alessandro is also part of the global Industrial Sector group and member of the firm’s International Reorganization group, advising domestic and international clients in complex cross-border reorganizations. He also advises clients in relation to commercial, real estate and restructuring matters.

Before joining Eversheds Sutherland in 2015, Alessandro gained broad experience in more than 10 years in Ashurst and other leading Italian law firms. Since joining the firm, he has completed more than 30 deals — national and cross-border.

Examples of Alessandro's recent experience, in a broad range of sectors (including TMT, food, healthcare, automotive and energy), include advising:

  • Itago SGR S.p.A. in the structuring and execution of the majority investment transaction, through leverage finance, with an innovative green leverage formula, in Teknoice S.r.l., third worldwide player in the production of industrial ice cream machines
  • Greyhound Capital Europe LLP in the first and second round acquisition of a minority stake in the capital of a leading Italian fintech company, owner of a well-known app for shopping in stores, sending money to friends and paying for services
  • Legal counsel of Sonnedix in the acquisition of a photovoltaic plant in Piedmont by a group of vendors
  • Legal counsel of CoStar UK Limited, the world leader in commercial real estate information, in the acquisition of a leading Italian company engaged in the resale of data on hotel performance and benchmarking
  • 64 Investments Ltd, a London-based investment manager, in the acquisition of a shopping center located in Italy together with the non-performing loans associated with it
  • Sonnedix, the global independent solar power producer (IPP) on a partnership with a fund managed by Amundi, Energy Vertes, which sold a minority stake to, and signed a joint venture agreement with, Amundi
  • As member of our cross-border team, advised Sonnedix in the negotiation and definition of the agreement of the minority interest sale, joint venture arrangements, new group’s corporate governance and framework for future acquisitions into a new entity, jointly held by Sonnedix and Amundi
  • Health Holding Company in the negotiation and definition of the corporate governance agreements with the French fund Ardian in the context of the acquisition by Dedalus of a part of the healthcare IT business of Agfa-Gevaert
  • Health Holding Company in the de-merger of Health Holding Company for the minority investment of Three Hills Capital Partners
  • Health Holding Company in the negotiation and definition of the agreements for the investment of the latter fund in Health Holding Company and relevant corporate governance matters
  • Al Dahra Holding LLC in the acquisition of the equity interest of Vilot GV Plus, S.L. in Al Dahra Europe and Al Dahra Holding LLC in the new corporate governance in Italy and Spain
  • Fratelli Polli, an Italian family-owned company leader in the food sector, in the acquisition of the 100% of Valbona, also operating in the food industry, from Europa Investimenti, a leading company in the Italian distressed assets market
  • Starbucks in the joint venture and financing agreements between Princi (Italian bakery and restaurant chain operating in Milan and London) and Starbucks
  • Investindesign, Italian Design Brands and FinFlexa in the execution of the transaction, also through leveraged financing, for the acquisition of the entire share capital of the Italian company Flexalighting, specialized in high-quality production and marketing of furniture in the lighting sector
  • Autoliv on the Italian aspects of the spin-off of its electronic safety systems business carried out by the Veoneer Group from the passive safety systems business carried out by the Autoliv group
  • Italian Design Brands, Indaco and Fingroppi in the structuring, documentation and complete execution of the investment, also through leveraged financing, for the acquisition of the entire share capital of Davide Groppi
  • Al Dahra Group in the corporate reorganization of the European entities of the group and in the negotiation and implementation of a new complex corporate governance with minorities
  • NEIP III, investment company managed by Finint & Partners, in the acquisition of the 75% of Panificio San Francesco and in the acquisition of a stake in Pane & Co
  • Mirato in the acquisition of Gianasso, owner of the famous Italian brand I Provenzali for natural and organic cosmetics
  • Italian Design Brands and Finsaba in the structuring, documentation and complete execution of the investment, also through leveraged financing, for the acquisition of the entire share capital of Saba Italia
