Samuel Chau is a Partner in our Banking and Real Estate Finance Groups. 

He has worked in the debt markets for over 20 years. His recent focus is on real estate finance and leveraged finance. Samuel is regularly ranked as a leading banking and finance lawyer by Chambers Global & Chambers Asia and his capability has also been highlighted by Legal 500 Asia Pacific.

Samuel graduated from the University of Hong Kong and Renmin University of China (LLM). He is a Hong Kong and English qualified lawyer.

Prior to joining Eversheds Sutherland, he was a partner of another international law firm and had worked for a pre-eminent U.S. law firm for over ten years as a team head of their Hong Kong banking practice.

His experience includes advising:

Real Estate & Project Finance

  • Leading PRC developers in the financing of limited recourse property development projects in various provinces of the PRC and in Hong Kong and many other syndicated loan, secured loan, acquisition financing and private equity transactions
  • Banks and developers on real estate construction and development loans (including green loans) for projects in various areas in Hong Kong
  • One of the largest and most reputable PRC developers on its co-investment arrangements with a Singapore sovereign wealth fund in real estate development projects in the PRC
  • A PRC policy bank in its multibillion pound financing of a nuclear plant project in the UK
  • A major PRC asset management company on a number of acquisition finance and private equity transactions, including its investments in 26 hotels around the UK

Acquisition Finance

  • Banks on acquisition financing of high value commercial properties in central London (including acting for a syndicate of banks on their financing of the acquisition by a consortium of four listed companies of a property site for development)
  • A leading international bank in an acquisition financing involving cross-border elements and taking security in 8 different jurisdictions (including the PRC, Macau, Vietnam and Portugal)
  • A leading PRC securities group in the financing of its acquisition of a Hong Kong listed securities company by way of general offer
  • A PE fund in the acquisition financing of a PRC manufacturing group, the first genuine leverage buyout in the PRC

Capital Markets

  • Financial institutions and issuers on pre-IPO financings and convertible and exchangeable bond transactions

Restructuring

  • A white knight in its rescue of a listed company in Hong Kong involving provision of a bridge loan, subscription of convertible bonds and standstill and restructuring arrangements with financial creditors
  • Banks and creditors on standstill and loan rescheduling arrangements
