Sam is an Of Counsel on the Corporate team in Shanghai specializing in commercial contracts, employment and corporate.
He has worked on matters across a range of industries including pharmaceuticals, chemicals, logistics and retail. Sam also has particular experience with the education sector and has advised clients on all aspects of cross-border education projects.
Sam's recent experience includes:
- advising an NYSE-listed US-based international components manufacturer to sell its Asian and European Die-Cut business to a US-based private-owned corporation. This was a highly complex cross-border M&A transaction involving eight jurisdictions
- advising a leading American multinational technology company on all its real estate projects across China
- advising a global leading water technologies company on the tender process for the nuclear power station projects across China
- advising a global medical devices company on strategies to execute group redundancy plans for their Chinese operations
- provided ongoing specific and general advice on all employment issues for a NASDAQ listed market leader manufacturer in the aircraft industry;
- carried out a comprehensive HR audit in China for an AIM-listed multinational producer and marketer of high-quality protein research tools
- advising a large multinational UK headquartered fashion retailer with a chain of high street shops on the departure of a member of the company's local senior management who held company shares from a share incentive scheme
- assisting and advising a number of UK universities and boarding schools regarding setting up branches in China or entering into joint projects with Chinese partners
