Holger is a Partner in our Corporate group.
He divides his time between our Munich office and our Luxembourg office where he leads the Corporate practice.
Holger focuses on business and corporate law and particularly specializes in national and cross-border mergers and acquisitions, private equity transactions, and corporate restructurings.
Before joining Eversheds Sutherland in 2012, he worked for five years in the corporate law practice group of Arendt & Medernach, Luxembourg’s largest law firm.
Holger is recommended as “Foreign Expert – Luxembourg” by Chambers Global 2019 and Chambers Global 2016. Furthermore, he is recommended by Best Lawyers for corporate law.
Holger’s experience includes advising:
- NYSE listed WestRock Company, on the German and Luxembourg aspects of the $1.025 billion disposal of its home, health and beauty division to Silgan Holdings Inc. and the acquisition by WestRock of Multi Packaging Solutions International Limited
- Teacher Retirement System of Texas on the acquisition of KBC Bank Deutschland, the German banking business of Belgium’s KBC Bank (today Bremer Kreditbank) and the acquisition of Oldenburgische Landesbank by Bremer Kreditbank
- Airbus Defence & Security on the restructuring and divesture of its commercial satellite business
- Italy’s largest industrial company Eni S.p.A on the restructuring of their gas and power operations in various jurisdictions, including Germany, Italy, Belgium and Austria
- Parker Hannifin Corporation on the acquisition of Jäger Automobil-Technik with sites in Germany and Poland
- Renold plc on the acquisition of Aventics' tooth chain business
- Blackstone Capital Partners on the structuring and financing in relation to several investments, including the acquisition of the Spanish manufacturer of food cans Mivisa Envases and the investment in the largest German offshore wind farm
- Starbucks on the disposal of Starbucks Coffee Deutschland to the Polish AmRest Holdings SE
- SMS Siemag on the takeover of 59.1% of the shares in the leading Luxembourg-based international engineering company Paul Wurth S.A. from inter alios, Arcelor Mittal
- private equity investors in the sale of Nycomed Group by the Luxembourg holding entity Nycomed SICAR and the subsequent exit from the SICAR
