Carolina is a banking and finance partner, advising clients also on energy, corporate and commercial matters.

Carolina has been advising clients in the banking and finance sector for more than 10 years, having acted in financing transactions both on the lender, as well as on the borrower side. She also assists local and international banks with complex regulatory issues.

Carolina has strong knowledge of the regulatory framework and legal practices of the energy sector in Romania and has assisted developers and financiers with respect to greenfield production facilities in Romania, as well as major multinational and local energy suppliers in relation to regulatory and contractual matters.

In the area of corporate and commercial law, Carolina acts for various clients, important domestic and international companies, both on specific projects and in relation to day-to-day corporate and commercial matters.

Carolina advises corporations, entrepreneurs and financial institutions across the entire banking and finance spectrum. Her most significant projects include:

  • assisting one of the largest banks in Europe in connection with a multimillion loan granted to an international group of companies operating in Romania
  • assisting one of the main logistics and distribution companies in Romania in contracting a financing granted by EBRD
  • advising an international company acting in the technology field with the contracting of a loan from a syndicate of banks and with the granting of security interests by its local subsidiaries
  • advising a major telecommunications group in relation to a partnership with a financial institution for the provision of financial services (including issuing of debit and credit cards)
  • advising on the drafting and review of the legal opinion on the enforceability of close-out netting and the validity and enforceability of collateral arrangements and other related issues under the EFET general agreement concerning the delivery and acceptance of electricity and natural gas
  • assisting one of the world’s largest energy and commodities traders in relation to its entry and trading activity on the Romanian electricity and natural gas markets as well as assisting the client with its day-to-day operations in Romania, including drafting and negotiation of contracts, regulatory advice with respect to the Romanian legislation in the energy field
  • assisting one of the most important energy producers in Romania with the negotiation of its EFET agreements
  • assisting one of the key players on the telecommunications market with its corporate restructuring process which involved the merger of several group companies
  • assisting a high-profile client with the demerger of part of its patrimony to a newly founded company to manage the passive infrastructure business of the group

Carolina has been an assistant professor in European Law at the University of Bucharest Law School for over five years. Currently she is an external collaborator at the University of Bucharest Law School for the same discipline.
