Mark is a Partner in the Public Company Advisory group. 

Mark is a public company advisory partner, providing the full range of advice and assistance required by listed and quoted companies, private companies seeking to float on the UK public markets and bidders and targets in UK public company takeovers. Mark also advises sponsors, nominated advisers and brokers in connection with such transactions.

His practice encompasses equity capital markets and public M&A transactions (IPOs, secondary fundraisings (Main Market and AIM) and transactions subject to the UK Takeover Code), as well as all aspects of public company advice, including Listing Rules and AIM Rules transactions, UK MAR-related advice and corporate governance advice.

Mark advises corporates, sponsors and nominated advisers and brokers across a range of sectors, including consumer and food and beverage, real estate (including REITs and proptech), financial institutions (including fintech), marketing and creative services (including martech), life sciences and pharmaceuticals, support services and diversified industrials. In addition, Mark advises on private M&A, joint venture and other corporate transactions and general corporate matters for clients. 

Over his career, Mark has written and presented numerous training sessions and other seminars for clients as well as authoring a number of client guides, briefings and updates on various aspects of the UK listed and quoted company regimes and the UK takeover regime.

  • Teledyne Technologies Incorporated on its £620 million bid for e2v technologies plc
  • Altrad Investment Authority SAS on its recommended cash offer for Cape plc
  • Sinclair Pharma on its £167 million takeover by Huadong Medicine
  • Dairy Crest on its £975 million takeover by Saputo Inc.
  • Diurnal Group plc on its £75 million AIM IPO
  • NewRiver Retail Limited on its £25 million AIM IPO and £500 million of subsequent AIM fundraisings
  • NewRiver Retail Limited on the imposition of a new English holding company, NewRiver REIT, and its re-domiciliation via a Guernsey cancellation scheme of arrangement and move to the Main Market
  • NewRiver REIT plc on its firm placing, placing and open offer raising £225 million
  • Dairy Crest Group plc on its £75 million non-pre-emptive placing
  • IntegraFin Holdings plc on its Main Market IPO resulting in a market cap of £650 million and raising £178 million for selling shareholders
