Lindi is a financial services lawyer specializing in the global distribution of investment funds and coordination of global regulatory projects.
Lindi is a Legal Director within Eversheds Sutherland’s financial services team and heads up our International Funds Net (FundsNet) and International Regulatory Net (RegNet) services, which provide clients with solutions for global fund distribution and regulatory projects.
FundsNet provides a coordinated service that can help you understand the key issues in each country where your investment funds are sold and comply with the relevant regulatory obligations. The service also coordinates the review of financial promotions and arrangements with service providers (such as distributors and paying agents). Our RegNet service provides a clear and managed process for coordinating regulatory advice and filings across multiple jurisdictions to ensure regulatory compliance.
Lindi is an experienced regulatory lawyer, having advised on a wide range of matters under FSMA and the FCA rules. As part of her role, Lindi closely monitors developments, including at global level, and regularly produces client briefings and articles. She is also a regular speaker at conferences.
Lindi has previous in-house experience having spent time on secondment at the regulated businesses of the UK's largest share registration services provider and most recently at one of the UK's largest insurance companies. During this time Lindi worked closely with senior management, compliance and the business and gained an in-depth knowledge of the businesses' products and services. Lindi also reviewed and drafted numerous manuals, policies and procedures to ensure regulatory compliance.
Lindi has acted on a number of global projects, including:
- assisting an international specialist banking and asset management group with the passporting/registering and ongoing maintenance of its AIFs and UCITS funds domiciled in Guernsey, Ireland, Luxembourg and the UK across Europe
- assisting a US multinational investment bank and financial services company with the passporting/registering/private placement and ongoing maintenance of its UCITS fund domiciled in Ireland across Asia and Europe
- assisting an investment manager with the private placement and ongoing maintenance of their Cayman Islands AIF across Asia and Europe
- assisting a global investment manager with the passporting/registering and ongoing maintenance of its UCITS funds domiciled in Luxembourg and the UK across Asia, Europe and South America; this involved a project, which is believed to be the largest by any asset manager in history, migrating non-sterling assets across 21 UK domiciled OEIC funds into equivalent Luxembourg strategies, to ensure all European clients can own its funds after Brexit
- assisting a global asset management group with the negotiation/review of over 1,000 third-party agreements such as distributor, rebate, platform, fund-link, paying agent agreements across 52 jurisdictions; these are negotiated and reviewed against agreed template agreements and positions checklists
- assisting multiple US incorporated business development companies (BDCs) to conduct private placement activities across Asia, Europe and South America
- assisting multiple investment managers on change of management company, depositary and administrator notifications to regulators in Asia, Europe and South America as part of Brexit planning
- assisting asset management companies on regulatory attitudes of financial services regulators to blockchain and crypto assets across 100 jurisdictions
- assisting a US corporate services company on the implementation of the EU’s second shareholder rights directive in 18 jurisdictions
- assisting a UK ecommerce, development and marketing agency on obtaining advice on investment in cannabis and cannabis seeds in 104 jurisdictions
- assisting a global airline trade association to obtain advice on payment services and electronic money in 140 jurisdictions relating to the introduction of new payment systems
- assisting a US investment banking and asset management firm with coordinating advice on setting up US brokerage accounts in 26 jurisdictions, including assisting the client to obtain the relevant licenses
- assisting a European financial services regulator with obtaining advice on setting up a sandbox (sometimes also referred to as a “Reglab” or “incubator”), in 7 jurisdictions
- assisting a major Gulf region bank with obtaining cross-border regulatory advice in connection with various areas of its business - in particular, whether or not the bank is able to undertake certain practices/activities and market certain products. This advice was distilled into a concise set of "FAQs" which were transferred to the bank’s front office teams via a mobile and desktop application, developed in partnership with Fliplet and NashTech. The app, which has been rolled out to 300 users working for the bank, provides users with user-friendly access to the latest regulatory positions on the products they are selling into the relevant jurisdictions where they are working in as simple and visual a format as possible
- assisting multiple financial institutions on change of control requirements, including making the relevant filings, most recently a global investment management company in 52 countries
- assisting insurance and investment management companies with the review of website disclaimers in 30 countries
