Charlotte is a Partner in the Real Estate group who has vast experience in working for the Education and Senior Living sectors.

As Sector lead for the Education sector, Charlotte has expertise in property transactions in both the public and private sector for education clients, working with clients to find the most effective solutions to take the deal forward. She has experience of a wide range of real estate work including leasehold and freehold acquisition and disposals, landlord and tenant work and portfolio management, as well as mainstream development work including development agreements and nominations agreements.

In the Higher Education sector, she has extensive experience of working with institutions on the day-to-day management of their property portfolios and individual projects. She has advised on capital projects, including the acquisition of sites for new campus developments, drafting and agreeing occupation agreements, and reviewing and advising on funding agreements with local authorities, local enterprise partnerships and banks.

Charlotte's recent experience includes:

  • advising a higher education client on the development of new student halls of residence, including negotiating and agreeing the agreement for lease with development obligation, agreeing the form of lease to be granted to the private sector provider and agreeing the nominations agreement, whereby the institution underwrote the void risk
  • advising a higher education institution on the development of an international pathway college. She advised on the property structure, agreeing the headlease with the joint venture company established by the institution. She also put in place an innovative underlease / license structure that allowed the institution to let space it was exclusively occupying and then to agree an annual license with the joint venture company for the remainder of the space so that the changing requirements of both the institution and the joint venture company could be accommodated
  • acquiring a new campus for a further and higher education client by way of a long lease advising on the assignment of the existing long lease and agreeing variations to accommodate the proposed change of use
  • acting on several income strip transactions, advising universities on a lease and leaseback to a funder to release finance to the institution. As part of these, she has advised on the institution’s governance requirements, advising on the lease and leaseback, title deduction and property consents required for the transaction to be entered into, SDLT advice and construction advice
  • advising a Welsh university on their accommodation project, including the property structure required to make the project acceptable to the banks and including a four-tier lease/underlease structure. She also advised on compliance with the charity law requirements for non-exempt charities
  • advising a Scottish university on the nominations agreement for the provision of accommodation by a private student accommodation provider partner, including a pre-sessional nominations agreement and a separate one relating to full-time students
  • acquiring new leasehold premises for a higher education client in a mixed-use building, including agreeing variations of superior leasehold interests and dealing with splitting service charge between commercial and residential tenants
  • disposal of former college campus on a contract conditional upon the purchaser getting planning and including step-in provisions in the event of non-development and overage provisions in the event a more valuable planning consent was obtained in the future
