Rhydian is a corporate lawyer focusing on mergers and acquisitions across the Middle East and equity capital markets in Qatar.

Rhydian handles a broad range of corporate transactional and advisory work, most of which involve multi-jurisdictional issues across the MENA region and beyond. He advises financial investors, private equity funds, government related entities, family offices and multinational corporations.

Rhydian leads on the negotiation and drafting of key transaction documents as well as developing optimal structures for clients in conjunction with financial, tax and commercial advisors. Rhydian also regularly assists clients with due diligence and pre-closing restructurings in the context of share, asset and hybrid transactions.

Rhydian is also experienced in Equity Capital Markets and advises clients on IPOs and direct listings on both the Main Market and Venture Market of the Qatar Exchange. This advice includes the drafting of offering documents and regulatory applications, and preparing boards of directors and management to be compliant with corporate governance and other regulatory requirements.

In his spare time, Rhydian enjoys travelling, playing various sports and following the Welsh national football team across Europe.

Rhydian’s recent client experience includes advising:

  • one of the GCC’s largest private equity firms on its disposal of a portfolio company active in the F&B sector across the Middle East
  • a leading private equity firm on its acquisition of a majority stake in a healthcare provider in the UAE
  • Air Products Middle East FZE, a wholly-owned subsidiary of Air Products and Chemicals Inc., a NYSE-listed company which is one of the world’s largest manufacturers of industrial gases, on its strategic acquisition of three entities from Air Liquide across the UAE and Bahrain
  • Savola Foods Company, a wholly-owned subsidiary of Savola Group, a leading strategic investment holding group focused on the food and retail sectors in MENA, on its strategic acquisition of Bayara Holding, a UAE-based leading manufacturer and distributor of branded healthy snacks and cooking ingredients, for US$260m
  • Baladna Food Industries on its QAR1.4bn IPO and listing on the main market of Qatar Stock Exchange
  • Al Faleh Educational Holding on its listing on the Venture Market of the Qatar Stock Exchange, making it the first company to be listed on this market
  • the procuring agency for a multi-phase schools public-private partnership, which will be delivered on a BOT basis in four separate packages
  • a major GCC bank on the underlying cross-border corporate issues in its arbitration proceedings involving an African investment
