Energy and Infrastructure in Europe

Eversheds Sutherland has offices across Europe. Our Energy & Infrastructure team is particularly well known for its ability to deliver ground-breaking, high value infrastructure projects in the energy transition market. We are experienced in renewables, energy efficiency and battery storage and also have an outstanding track record working on ground breaking oil & gas, conventional power and water projects. In addition, we have particular experience in advising on PPP and transport projects ranging from rail and roads to airports.

Clean energy

A selection of our recent key deals include advising:

  • AlGihaz as one of the investors on the largest renewable energy project in Ukraine being the 63 turbine, 250MW Syvash wind project with a total investment for the project being 380 Euro million
  • China General Nuclear European Energy in acquiring a 75% stake in the 650MW Markbygden project in Sweden from GE Energy Financial Services (GE) and Green Investment Group (GIG). The Markbygden project is the largest single site onshore wind farm in Europe and has the world’s largest private PPAocess
  • Green Investment Bank and BlackRock on their £425 million acquisition of over 400MW of offshore and onshore wind farm capacity from Centrica and EIG Global Energy Partners in Europe (we were shortlisted as ‘Energy Team of the Year’ by The Lawyer for our work on this deal)

Infrastructure

A selection of our recent key deals include advising:

  • High Speed Two Limited on matters connected with the delivery of the HS2 high speed line in the UK - one of the most complex and challenging rail infrastructure projects currently being undertaken in the world
  • the UK’s Infrastructure and Projects Authority as lead adviser on the development of the new UK PF2 PPP model and contractual documentation
  • a bidder on the A465 highway concession, one of the key road upgrade projects currently in development in the UK
  • Manchester Airports Group on all aspects of the landmark £800m Airport City Management Development, which was the first of its kind in the UK.
  • a Central European Government on a construction dispute with the project company.

Oil and gas

A selection of our recent key deals include advising:

  • Essar Oil on the preparation of the Stanlow Refinery for a potential sale process
  • National Grid on the £13.8 billion sale of National Grid’s gas distribution business. This deal was one of the largest and complex UK deals in 2016
  • an international oil and gas company on a contested boundary issue affecting an offshore oil block situated across the Romanian and Bulgarian border

Conventional power and water

Some of our recent key deals include advising:

  • Singapore-based Sembcorp Industries on the purchase of the UK Power Reserve (UKPR) from private equity firms Equistone and Inflexion.
  • The Shell Petroleum Company Limited (Shell) on its agreement to acquire First Utility, a leading independent UK household energy and broadband provider.
  • a consortium of Chinese banks, led by China Development Bank Corporation (CDB), on the key financial aspects of the £18 billion Hinkley Point C nuclear new-build project. Hinkley Point C is one of the most complex project financings currently underway anywhere in the world.
  • five of the ten United Kingdom Water and Sewerage Companies (WaSCs) in relation to their multi £billion AMP3, AMP4, AMP5 and AMP6 infrastructure investment programmes including water and waste-water treatment plants, storage and distribution networks together with the procurement of numerous “one-off” major projects
  • a French multinational electric utility company on a series of disputes arising out of their acquisition of Teesside CCGT plant, the largest in Europe, from Goldman Sachs

Nuclear

Some of our recent key deals include advising:

  • consortium of Chinese banks, led by China Development Bank Corporation (CDB), on the key financial aspects of the £18 billion Hinkley Point C nuclear new-build project.
  • Sellafield Limited on drafting a suite of precedent agreements in relation to the supply of goods and services for use on both major complex, high-value contracts
  • Toshiba/Westinghouse and SNPTC on their bid to acquire Horizon Nuclear Power Limited (including both acquisition and consortium structuring aspects
