Funds tax
Eversheds Sutherland’s funds tax practices advise on a wide range of tax issues for the asset management industry. We have a longstanding reputation for cutting-edge work that provides innovative solutions for asset managers and their investment products. Our work is based on broad experience and deep knowledge of all types of investment funds: regulated or unregulated, our dedicated lawyers are on hand to meet your needs.
Experienced funds tax lawyers
We have influenced the development of UK funds taxation for many years, playing an active role on all relevant HM Treasury and HM Revenue & Customs working groups. For our innovative work with the UK Government in creating the new tax-transparent fund, known as the authorised contractual scheme (ACS), we also won the James Bullock Award for Outstanding Achievement in a Legal Firm at the Taxation Awards 2016. Among our lawyers are active members of key industry committees.
Our team covers all types of fund structure including open and closed-ended, regulated and unregulated funds in corporate, trust, co-ownership and partnership form. We advise on funds in key fund jurisdictions including Luxembourg, Ireland, the Channel Islands, Hong Kong and the Cayman Islands, as well as the UK and U.S.. Our range extends to all asset classes and covers all taxes, acting for a broad range of managers, investors, depositaries/custodians, funds and investors.
Regulated investment fund tax
Our tax advisers are highly experienced in regulated investment funds markets including UK-authorized investment funds, U.S. mutual funds, exchange-traded funds and business development companies.
We have a long track record of achieving tax-driven industry firsts whilst acting as sole or lead adviser. These include the first London-listed closed-ended Guernsey hedge funds, the first institutional and retail property authorised investment funds (PAIFs) to convert and launch and the first securities and real estate authorised contractual schemes. We were also the sole tax adviser on the only PAIF merger to date.
With years of experience as tax advisers for business development companies (BDCs), we have represented BDCs or underwriters in many public offerings. In addition, we have been at the forefront of structuring non-traded and private BDCs, as well as conversions of private funds to BDCs.
Our fund tax advisers were instrumental in the development of the first commodity exchange-traded funds utilizing a publicly traded partnership structure. We are already working closely with clients on the next set of developments.
Unregulated and closed-ended investment funds tax
Our dedicated investment funds tax lawyers have extensive experience of acting for unregulated open and closed-ended funds of all types. These include listed investment trust companies and their offshore counterparts, UK and U.S. real estate investment trusts (REITs) and alternative and private funds, including real estate, debt, hedge and private equity funds formed in the UK, U.S., Luxembourg, Ireland and elsewhere
