Wierzbowski Eversheds Sutherland advises Enterprise Investors in acquisition of Jantoń

On July 17, 2017, Polish Enterprise Fund VII, a private equity fund managed by Enterprise Investors, signed a contract under which together with the CEO of Jantoń it purchased 100% of the company’s shares. Wierzbowski Eversheds Sutherland advised Enterprise Investors on the deal. 
The law firm’s role involved negotiation of the terms of the warranty and indemnity coverage and the tax risks associated with the transaction. W&I policies enable the acquirer to obtain compensation if the target company suffers a loss arising out of events occurring prior to the acquisition. 
The transaction required the cooperation of lawyers from various specialties: Karolina Stawowska and Małgorzata Sajkiewicz on tax, Grzegorz Kott on insurance law, and the leader of the project, Krzysztof Feluch, advising on M&A issues.
The value of the transaction was not disclosed.
Jantoń is one of Poland’s largest companies producing grape- and fruit-wine based alcoholic beverages. 
Enterprise Investors is one of the largest private equity firms in Central & Eastern Europe. Operating since 1990, it has established eight funds with a total capital exceeding EUR 2 billion. The funds have invested over EUR 1.7 billion in 138 companies operating in various sectors of the economy. It has exited investments in 124 companies, obtaining gross proceeds of EUR 3.4 billion.
