Eversheds Sutherland advised the Cherkizovo Group on its acquisition of Pit-Product

We provided full legal support to the Cherkizovo Group in connection with its acquisition of a meat processing company, Pit-Product, from Atria Group.
Pit-Product is a wholly owned subsidiary of Atria having approximately 700 employees working in two modern plants Gorelovo and Sinyavino producing a range of meat products under several well-known trademarks (most of them were included in the transaction).
Our legal services included conducting a full scope legal due diligence of the target company, structuring the deal and drafting pre-contractual and contractual documentation. We actively participated and provided comprehensive legal support to our client during all stages of the extensive negotiations.
The parties signed a preliminary agreement on 15 February 2021, and the transaction is expected to be closed after approval by the Russian Federal Antimonopoly Service. This acquisition will allow our client to increase its share in the sausage market in the North-West Federal District, one of the key regions of the company’s presence.
