Business Brunch. Your first M&A in Russia: to deal or not to deal

    During this business brunch, we will discuss based on our experience how to conclude share purchase agreements and to transfer shares in Russian companies (directly or indirectly), whether using foreign or Russian law. We will also give an overview over how such transactions usually are carried out and which stages they must go through, from negotiations to closing the transaction.

    10:20 - 10:40 – negotiating between the parties and preparing for a potential transaction: a list of issues to be discussed, limitations and procedures for disclosing information, legal due diligence of the target company

    10:40 - 11:10 – the choice of structure for the transaction (acquisition of shares vs. acquisition of assets) and applicable law: pros and cons

    11:10 - 11:30 – ways to determine the price, payment procedures, and how to defend your interests when carrying out such a transaction
