Expansion in Eastern Europe: Eversheds Sutherland advises DER Touristik Group on the proposed acquisition of the Czech tourism company Fischer

    DER Touristik Group, REWE Group’s travel division, continues to expand its business in Eastern Europe: Its Czech subsidiary Exim (Prague) intends to take over FISCHER (also Prague), a leading travel agency in the Czech Republic and Slovakia, with the support of Eversheds Sutherland. The seller is KKCG Investment AG having its seat in Lucerne, Switzerland.

    The closing of the transaction is subject to antitrust approvals.

    With its total turnover of EUR 6.7 billion in 2018, DER Touristik Group having its seat in Cologne, Germany, is among Europe’s leading travel agencies. DER Touristik Group has 10,500 employees in 15 European countries and is part of REWE Group, a leading European trade and tourism group. With its trademarks Billa and Penny as well as its tourism company Exim Holding, REWE Group is already a successful major player in the Czech Republic.

    In the Czech Republic and Slovakia, the Tourism company Cestovní kancelář FISCHER, a.s. acts under the trademarks Fischer, Nev-Dama, eTravel and Privileq. The trademark Fischer stands for the travel agency’s activities and 66 local travel offices. Nev-Dama specialises in winter and skiing holidays. eTravel is the company's package travel online portal. Under the trademark Privileq, Fischer offers high-end package holiday.

    KKCG is an investment company with its offices in Lucerne, Prague, Amsterdam, London as well as Cambridge, USA, and manages a portfolio with a total value of more than EUR 5.2 billion. The group companies have more than 3,500 employees and are active in 19 countries worldwide.

    With the lead Partner Stanislav Servus (Partner) with Jiří Kokeš (Principal Associate), Jakub Verlík (Associate, all Corporate/M&A), Tomáš Mls (Senior Associate, Real Estate/Commercial) Petra Kratochvílová (Senior Associate, Labour and Employment/Data Protection), Jiří Koubek (Associate, Real Estate).

    On an international level, the team for DER Touristik Group included: a team in Germany led by Dr. Michael Prüßner together with Principal Associate Anthony Cross (both Corporate/M&A, Munich), Eversheds Sutherland advised DER Touristik Group for the first time regarding a cross-border transaction. Michael Prüßner already advised REWE within the framework of M&A transactions in the past. The team was furthermore comprised of Partner Dr. Tobias Maier (IP), Benjamin Schikora (Senior Associate, Corporate/M&A), Luise Paulsen (Associate, Corporate/M&A, all Munich), Philipp Kühn (Associate, IP, Hamburg) as well as Miriam Horn as International Paralegal (IP, Munich).

    The British team was led around Partners James Trevis (Corporate/M&A) and Colin Askew (Tax) with Elizabeth Tindall (Principal Associate) and Associates Owen Llewelyn (both Corporate/M&A) and Jesus Casado (Tax), as well as Corporate/M&A Partner Marc Nufer in Switzerland.

    In-house the transaction was led by Dr. Björn Schigulski (Lead Legal, Cologne) and Patrick Lambertz (Lead M&A, Cologne) as well as Dr. Rainer Koll-Möllenhoff (Legal/Head of M&A, Cologne) and Lara Schmitz of Hülst (Tax, Cologne).
