Eversheds Sutherland along with offices across our international firm are delighted to have acted for Hartenberg Capital on its minority stake divestiture and agreement (subject to regulatory approvals) with CVC Capital Partners for a co-controlling holding in FutureLife, a leading pan-European IVF provider.
Hartenberg Capital which was established in 2013 is a private equity firm based in Prague, Czech Republic, and our deal team was led by Michal Hrabovský in our Prague office along with Gavin O’Flaherty, a member of our healthcare M&A and private equity team out of our Dublin office.
The benefits of Eversheds Sutherland’s cross jurisdictional expertise were of particular relevance to this transaction as FutureLife, while also headquartered in Prague, is a leading Pan-European provider of IVF and related genetics services, with presence across eight European markets including Czech Republic, Ireland, Netherlands, Finland, United Kingdom, Romania, Slovakia and Estonia.
Our work began with the initial inception of the possible investment in mid-2021 when we assisted Lincoln International’s healthcare M&A team throughout the bid process and vendors due diligence up to the signing of transaction documents in December 2021 (subject to require regulatory approvals).
Jozef Janov of Hartenberg Capital said, “FutureLife is an exciting story that traces its roots back to an idea in 2013 to build a European IVF leader. FutureLife has since completed 22 acquisitions in eight countries including the recent acquisition of Nij Group in the Netherlands. At this stage in the development of the company and market, we believe it is the right time to take a new partner on board for FutureLife that can work alongside us. We consider CVC to be the right partner with whom we can accelerate towards our goal of becoming the largest and highest quality women’s health platform globally”.
