Heisse Kursawe Eversheds advised All for One AG on acquisition

    All for One Midmarket AG, one of the leading SAP service providers listed on the Prime-Standard in Frankfurt, takes over 100% of the shares in Steeb Anwendungssysteme GmbH, Abstatt, from SAP AG, Walldorf. The purchase price, which is financed mainly through outside funds, lies in the mid two-digit million range and depends strongly upon the balance sheet structure on the completion date.

    A team of the international law firm Heisse Kursawe Eversheds under the aegis of Dr. Oliver Maaß (Corporate) comprehensively advised All for One Midmarket AG on stock corporation law matters during the takeover. Further team members were Julie Ann Schreier and Wolfgang Troidl (both also Corporate).

    The newly formed company is based upon the strategic core elements "small and medium-sized companies", "industry know-how" and "customer accessibility". For this reason, all Steeb sites will continue to exist after the conclusion of the acquisition. The focus will remain on machine and plant engineering, the automotive supplier industry and the area of project service providers, and there will be an additional emphasis on technical wholesale and the consumer products industry. Geographically, the focus will be on Germany, Austria and Switzerland. All for One provides services to its globally operating customers via the United VARs Partner network which it coordinates in 57 countries.
