Advice to DuPont on the sale of DuPont Performance Coatings (DPC)

    DuPont sold DuPont Performance Coatings (DPC) for USD 4.9 billion to Carlyle Group. DPC, one of the leading producers of car paints and industrial coating systems worldwide, has more than 11,000 employees, in 2012 the turnover will amount to more than USD 4 billion.

    Eversheds International advised DuPont with reference to the sale of the European companies and sites. The overall coordination of the Eversheds teams in 18 jurisdictions was carried out by Martin Issitt (Partner, Corporate, UK). Heisse Kursawe Eversheds, the German branch of Eversheds International, advised with reference to the German parts of the company. This includes the two sites of DPC in Wuppertal with more than 2,000 employees. The German team of Heisse Kursawe Eversheds was headed by Dr. Matthias Heisse (Partner, Corporate) and Sven Schweneke (Counsel, Corporate). Other team members were Frank Achilles (Partner, Labour Law), Dr. Manuela Rauch (Senior Associate, Labour Law) as well as Dr. Björn Ahner (Associate, M&A).

    It is planned to complete the sale in the first quarter of 2013, provided outstanding cartel law approvals are granted.
