Eversheds Sutherland advises Swiss Life Group on the acquisition of BCP Battery Holding

    Eversheds Sutherland has advised Swiss Life Asset Management AG on the establishment of a joint venture with B Capital Partners AG for the joint creation of a platform of battery storage projects. For the realisation of the joint venture, two funds of Swiss Life Group jointly participated with a share of 49.992% each in BCP Battery Holding S.à r.l., a project company founded by a fund of B Capital Group. The parties intend to acquire battery storage projects with a capacity of up to 420 MWh in Germany alone and to undertake investments in the amount of EUR 200 million for these projects.

    Eversheds Sutherland accompanied the acquisition and the structuring of the joint venture from a corporate law perspective, by drafting and negotiating the transaction documents in accordance with the laws of both Germany and Luxembourg. In addition, Eversheds Sutherland advised on the financing issues related to the transaction and drafted and negotiated the required documentation within the framework of the provision of a shareholder loan in the amount of EUR 72 million.
