Eversheds Sutherland advises Nordson Corporation on the acquisition of NDC Technologies

Eversheds Sutherland has advised Nordson Corporation on its agreement to acquire the NDC Technologies business from Spectris plc.
The acquisition expands Nordson’s test and inspection platform into new end markets and adjacent technologies. The all-cash transaction, subject to customary post-closing adjustments, is valued at $ 180 million (€ 153 million).
Nordson Corporation is a global designer and manufacturer of innovative precision technologies for critical customer applications in consumer non-durable, medical, electronics and industrial end markets. Founded in 1954 and headquartered in Westlake, Ohio, USA, the company has operations in over 35 countries.
NDC Technologies designs, develops and produces a wide range of process measurement and control instrumentation for a broad scope of manufacturing industries. Headquartered in Dayton, Ohio, USA, the company generates approximately $ 90 million in annual revenue (€ 76 million). NDC Technologies has manufacturing facilities in Dayton, Ohio, and Maldon, UK, with centers of excellence at each of these locations including Irwindale, California. A manufacturing and service facility exists in Middletown, Connecticut and direct sales and support facilities in Germany, France, Italy, India, China and Japan.
Eversheds Sutherland advised Nordson Corporation with an international team consisting of Partners Sven Schweneke (Munich), Lance Phillips (both Corporate/M&A, Chicago, USA), Simon Weppner and associates Niklas Schilawa (both Tax, Dusseldorf), Luise Paulsen, Sonja Popp (both Corporate/M&A, Munich), Evan Johns and Alistair McMasters (both Corporate/M&A, Chicago, USA). In addition, teams from the UK, France, Italy, India and China were involved in the transaction.
