Heisse Kursawe Eversheds advises United Drug plc. on acquisition

    United Drug plc., a listed company and leading international service provider for manufacturers and retailers in the health sector, with an annual turnover exceeding EUR 1.7 billion, has taken over the Pharmexx group of companies with its headquarters in Stuttgart. The Celesio subsidiary Pharmexx, which specialises in marketing and recruitment services for pharmaceutical companies, employs 2,300 people in 18 countries in Europe and in North and South America in a total of 34 subsidiaries, 4 of which are located in Germany.

    This international transaction was the first project entrusted to Eversheds by United Drug. Under the aegis of the Munich-based corporate partner Christof Lamberts, who also led the contractual negotiations, and the UK based corporate partner Stephen Kitts advice was provided by a team involving the Eversheds offices in UK, Ireland, the Netherlands, Denmark, Belgium, Austria, Switzerland, the Czech Republic, Spain and Sweden as well as 'best friend' law firms in Argentina, Brazil, Canada, Norway, Finland, Portugal and Turkey. UK based partners Adam Collinson and Stephen Rose leading on anti-trust issues arose in Ireland, Spain and Portugal. Eversheds was added to United Drug's panel of advisors in 2011.

    The German team was led by Christof Lamberts (Partner Corporate/M&A) and comprised Sybille Flindt (Partner, Corporate/M&A), Dr. Stefan Diemer (Partner, Tax), Holger Holle, LL.M. (Corporate), Sabine Wagner (Corporate and Commercial), Dr. Maximilian Mack (Corporate) as well as Dr. Tobias Harzer (Corporate). Additionally, Dr. Manuela Rauch (HR), Phillip Turnwald, LL.M. (Real Estate), Dr. Jennifer Helgert (Loans), Dr. Charlotte Achilles-Pujol, LL.M. (Tax) and Silke Freund (Trade Mark) were involved in providing advice.

    The takeover is still subject to approval by the cartel authority; the estimated net cash consideration amounts to € 28.7m.

    With this acquisition, United Drug intends to move closer to its goal of becoming the world's leading provider of contract sales for the pharmaceutical industry. Moreover, the acquisition marks an important milestone for the international positioning of United Drug as an outsourcing partner for pharmaceutical companies.
