Eversheds Sutherland advises Shell on acquisition of German sustainable mobility solutions provider SBRS GmbH

Supporting the energy transition in Germany
Düsseldorf, 19 August 2022 – Eversheds Sutherland has advised Shell Deutschland GmbH on its agreement to acquire German sustainable mobility solutions provider SBRS GmbH from Schaltbau Holding AG.
The acquisition of SBRS GmbH strengthens Shell’s sustainable energy offering in Germany. The transaction is subject to satisfaction of customary closing conditions, including regulatory approvals.
Shell Deutschland GmbH, headquartered in Hamburg, is a subsidiary of the international Shell Group. With more than 3,000 employees in Germany, Shell is active in research & development, production and sales of energy solutions for private mobility and home energy as well as energy and chemical products and other resources for almost all industries and sectors.
Headquartered in Dinslaken, SBRS GmbH offers charging infrastructure solutions for e-mobility vehicle fleets to its customers such as municipalities, transport operators and private companies. SBRS GmbH is a subsidiary of Munich based Schaltbau Holding AG. Schaltbau is an internationally leading technology partner for safety and availability for rail and DC power with international operations in 14 countries.
Shell was represented by an Eversheds Sutherland team led by Partner Werner Brickwedde and Counsel Alexander Dartsch (both corporate/M&A, Düsseldorf). The team consisted of Partners Manuela Rauch (employment and labour law, Munich), Daniel von Brevern (competition) and Simon Weppner (tax, both Düsseldorf), as well as Associates Daniel Giese (corporate/M&A, Düsseldorf), Kristina Kober (commercial), Johannes Oehlschläger (employment and labour law, both Munich), Maximilian-Philipp Schöps (competition) and Niklas Schilawa (tax, both Düsseldorf).
The Shell in-house team was led by Samantha Bonsignore (London) and Daniel Huth (Hamburg) from the Acquisitions & Divestments/ New Business Development legal team.
