Eversheds Bianchini, legal advisor in the acquisition of Industrie Chimiche Forestali S.p.A.

Eversheds Bianchini, the Italian office of law firm Eversheds, with a team headed by Marco Franzini and assisted by, associate, Nicola Zito, has acted as legal advisor for Mandarin Capital Partners II (Mandarin), Private Equity Partners (PEP) and Guido Cami in the acquisition of Industrie Chimiche Forestali S.p.A. (ICF).

ICF was founded over 100 years ago in Maccagno, Lake Maggiore, and now based in the outskirts of Milan, is a leading producer of fabrics for tips and counters as well as adhesives for the footwear and upholstered furniture industries. It also makes industrial adhesives for the flexible packaging and automotive industries, with 110 employees and a turnover of 60 million Euros in Europe, the Americas, Africa and the Far East.

The Eversheds Bianchini team assisted on the acquisition of ICF from the sellers (confidential party), and also on the management buy-out of the company. The majority shareholder is Mandarin and the minority shareholders are PEP and Guido Cami, CEO of the company. The acquisition and the plan for the consolidation and development of international markets for ICF are fully financed by its investors, with a potential for future acquisitions.
