    Eversheds Sutherland advises US entity of client Owens & Minor on its US$710m purchase of healthcare business

    Eversheds Sutherland has advised Owens & Minor, Inc, a global fortune 500 healthcare company, on the international legal aspects of its $710m acquisition of Halyard Health, Inc.’s Surgical & Infection Prevention (S&IP) business.

    The global legal practice advised on the due diligence, corporate, regulatory and employment aspects of the deal in 16 key jurisdictions including the UK, France, Germany, Netherlands, China, South Africa, and Singapore. Advice was also provided by the commercial arm of the team on all non-US trademark and patent elements of the transaction.

    This acquisition, (completed on 30 April 2018), will increase scale and profitability across Owens & Minor's global business, while also enhancing the company's owned-brand product portfolio and expanding its global network into new markets and channels.

    The multijurisdictional Eversheds Sutherland team was led by Richard Moulton, Partner and head of corporate (Eversheds Sutherland International) and comprised: Partners Elizabeth Graves and Constanze Moorhouse (employment), corporate Partners Catherine Detalle, Koen Devos, Tom Van Wijngaarden, and Jack Cai and Partners, Dr Tobias Maier (commercial) and Sze-Hui Goh (Eversheds Harry Elias).

    The wider team included Vivienne Feaheny (head of company secretarial), Principal Associates Gael Barbier (corporate) and Dr Michael Reichard (banking), Senior corporate Associates Andy Lord, Caroline Clapham, Sam Chen, Charles Bresson and Lesley Koopmans, and Associates Lydia Thimon (corporate), Deeliah Chakowa (corporate), Michael Peters (commercial), Justine Musiker (corporate), and Mmueledi Monatisa (company & commercial).
