    Advising long-standing client Autoliv on ambitious ‘spin-off’ company

    Eversheds Sutherland has advised long-standing client Autoliv Inc. (Autoliv), a leading global automotive parts supplier, on its ‘spin-off’ venture – Veoneer Inc. (Veoneer) – an exciting new brand in automotive safety electronics and systems.

    Veoneer has ambitions to be a leading system supplier for active safety systems, advanced driver-assistance systems and autonomous driving, including automotive radars, cameras with driver assist systems, night vision systems, and positioning systems. The spin-off will better position both Autoliv and Veoneer, enabling both to capitalise on growing markets with leading product offerings

    The multi-jurisdictional M&A team provided strategic advice on the overall structuring of the corporate entity and separation process, as well as establishing new entities in several jurisdictions, asset transfers, share transfers, licensing agreements and transition services agreements.

    Spanning over 20 jurisdictions, the Eversheds Sutherland cross-border M&A team was led from the Stockholm office by Partner Ulrika Sparrman, supported by Partners Jonas Bratt and Gabriel Albemark. The wider team included Senior Associate Jan Österman and Associates Anders Svensson and Dennis Lundquist. Multi-jurisdictional advice was also provided by Eversheds Sutherland offices in the UK, France, Germany, Spain, Italy, Belgium, Sweden, Switzerland, Poland, Romania and China.

    In addition to this significant industry deal, the Eversheds Sutherland team has subsequently been appointed to provide ongoing legal support for the Veoneer venture, including its entity management.
