Eversheds Sutherland advised TSR Czech Republic s.r.o. on the acquisition of Barko, s.r.o.

Eversheds Sutherland advised TSR Czech Republic s.r.o. on the acquisition of Barko, s.r.o., the largest transaction in the field of metal and non-metal waste purchase and recycling in the last ten years, which will strengthen the position of TSR Czech Republic s.r.o. in the recycling industry and expand its scrap metal recycling services. The acquisition brings together two established players in the industry and creates synergies and growth opportunities. The transaction was interesting from a competition point of view, where a number of issues remained unresolved. This has manifested in the high level of intensity of the pre-notification negotiations with the Czech national competition authority, and the team of our competition lawyers was thus able to participate again in the creation of local precedents in the Czech Republic.

TSR Czech Republic s.r.o., part of the multinational REMONDIS Group, is the leading scrap metal processor in the Czech Republic. It is also engaged in the purchase of metal waste, paper, plastics and glass. The company also provides battery, accumulator and electrical equipment take-back. It has been operating on the Czech market since 1991, has over 30 branches, processes 923,000 tonnes of waste a year and employs over 400 people.

Barko, s.r.o. purchases (colored and ferrous metals, cables, batteries, electrical waste, paper, car wrecks, catalytic converters and precious metals) and recycles secondary raw materials. It has been active on the market since 1998 and has 7 branches.

TSR Czech Republic s.r.o. was successfully represented in the transaction by a team led by Petra Kratochvílová (Counsel) with the support of Jakub Verlík (Senior Associate). The competition part of the transaction was led by Marek Bomba (Partner) with the support of by Barbora Šafaříková (Senior Associate) and Maroš Kandrík (Junior Associate).
