Essentials for academy clerks and company secretaries

Who should attend

Academy trust company secretaries or clerks or any other academy trust directors, business managers or academy sponsor personnel who will have responsibility for administering the academy trust company. It will also be relevant to clerks of sixth form colleges which are thinking of converting.

Synopsis

Becoming an academy confers legal responsibilities under company and charity law which many schools and sponsors are unfamiliar with.

In addition, the ESFA’s guidance on academy trust compliance is developing every day. Using case studies, our session will guide multi-academy trusts through the essentials of how to administer themselves in compliance with the array of statutory and contractual requirements applicable to academy trusts. Delegates will be able to take away an academy company law toolkit for future use.

We will cover:

− knowing your way around the academy articles; how to appoint and remove trustees; how to convene meetings and take decisions; how to amend your articles of association; annual filings and other company law requirements

− managing conflicts of interest – ensuring compliance with your articles of association and company/charity law

− briefing on the governance requirements of the funding agreements and the Academies Financial Handbook including directors duties

− Q&A session to share and discuss common concerns, misunderstandings or difficulties
