Education webinar - An introduction to M&A for education institutions
Who should attend
This training event is aimed at anyone who works in the education sector.
Synopsis
This session is aimed at those institutions who are looking to either acquire or dispose of a part of their businesses through an asset or share sale. This is an introductory session for those who are either new to M&A or are looking to refresh their knowledge on the different stages of an M&A transaction and the key issues to be considered at each of those stages.
We will cover:
- Types of M&A Transactions – We will explore the differences between an asset sale and a share sale and highlight key issues to be considered in each
- Due Diligence – We will explain what due diligence is and what issues should be considered by either a buyer or a seller in completing it
- Key Transaction Documents – We will review the key transaction documents which should be used in an M&A transaction, consider who is responsible for drafting them and explore what issues the parties should consider in their negotiation
- Warranties and Indemnities – We will look at the importance of warranties and indemnities and explain how these work with the transaction documents
- Specific issues for education institutions – We will also consider any specific issues affecting M&A by education institutions including the need for regulatory consents in some circumstances
