Structured Finance and Securitisation
Derivatives, securitisation and structured finance products are complex by nature. The global financial crisis has resulted in increasing regulatory focus and greater volatility in the financial markets. This means specialist lawyers with innovation, experience and familiarity, and the ability to deliver quality advice within tight timetables are critical.
We advise on all types of structured financings and derivative products, including: covered bonds, securitisations of auto-loans, credit cards, real estate assets, trade receivables, whole businesses, CDOs and synthetic securitisations, master trust structures, asset backed commercial paper conduits, structured investment vehicles, derivatives, repos and securities lending.
Our clients include arrangers, collateral managers, enhancement providers, investors, issuers, liquidators, liquidity providers, originators, rating agencies, servicers, sponsors, swap counterparties, trustees, and underwriters.
Our recent award winning transactions include the “IFLR Securitisation Deal of the Year”, “IFR Asia-Pacific Securitisation Deal of the Year”, “Asian-Mena Counsel Securitisation Deal of the Year” (DBS Covered Bond Programme (2015).
In addition to setting up complex securitisations and derivative products, we have extensive experience in defaulted securitisations, insolvency workouts, unwinding complex securitisation structures, and close-out of derivative, repo and securities lending contracts. We have been advising the Hong Kong Liquidators of Lehman Brothers and MF Global on the unwinding of complex derivatives and securitisation positions since their collapse.
