Eversheds Sutherland Wierzbowski advised Ricoh on the acquisition of SimplicITy

The M&A team of the Polish office of Eversheds Sutherland advised Ricoh on the acquisition of SimplicITy, a Polish company operating in the field of IT solutions integration. With this transaction, Ricoh will strengthen its existing offer of IT services and solutions supporting digital transformation.
The lawyers advised throughout the whole acquisition process, from the due diligence stage, through the preliminary agreement, transaction-related issues, to the closing of the transaction. Renata Patoka (Co-Head of the M&A team) and Natalia Burchardt (Senior Associate, M&A and PE/VC) were responsible for the project. Support at individual stages of the work was provided by: Marta Gadomska-Gołąb and Dr. Aleksandra Kunkiel-Kryńska (Co-Heads of Commercial), Joanna Polkowska (IP), Agnieszka Sagan-Jeżowska (Data Protection), Grzegorz Kott (Finance), Paweł Lasota (Employment) and Piotr Nowacki (M&A). The proceeding with regard to obtaining consent for concentration from the President of UOKiK (Competition and Consumer Protection Office) was conducted by Dr. Dariusz Aziewicz .

The acquisition of SimplicITy is another acquisition transaction of IT companies carried out by Ricoh recently throughout Europe.
Founded in 2013 and headquartered in Warsaw, SimplicITy is one of the fastest growing information and communications technology companies in Poland. Its main areas of focus include data center transformation solutions, hybrid cloud, networking and cyber security. SimplicITy will continue to operate under its existing name, SimplicITy Sp. z o.o. and managed as a separate entity in Poland. SimplicITy will develop commercial synergies with Ricoh Poland, as well as Ricoh Europe’s Service Operations Center and wider IT Services team as part of the integration, generating cross selling into the respective customers.
