We acted as Revenio Group Corporation’s legal advisor in its acquisition of the CenterVue Group from Italy and the USA, April 2019

Revenio Group Corporation signed, on 13 April 2019, an agreement on the purchase of all shares of the Italian CenterVue SpA for an enterprise value (EV) of MEUR 59. The acquisition supports Revenio’s goal of strengthening its position as the global market leader in devices for the diagnostics and monitoring of the eye, and glaucoma in particular. The Italian CenterVue is a leading supplier of ophthalmic devices and its products complement Revenio’s product portfolio.

The acquisition was completed on 30 April 2019. The product development centre of CenterVue’s optical products and software will remain in Italy also in future. Correspondingly, Revenio’s product development centre focusing on products and software related to tonometry will remain in Finland.

Icare Finland Oy is an advanced health technology company based in Vantaa, Finland. Company is a part of Revenio Group Corporation, a public company listed on the Helsinki Stock Exchange. Icare Finland Oy develops, manufactures and sells Icare® tonometer, which has obtained worldwide official clearances (CE, US FDA, CFDA etc.) and tens of thousands of satisfied users in over 75 countries.

Eversheds Sutherland advises the Finnish health technology company Icare Finland Oy, a subsidiary of the publicly listed company Revenio Group Corporation, in intellectual property matters and especially in the enforcement of its IPRs globally against infringers and counterfeiters. Icare Finland Oy is an advanced health technology company based in Vantaa, Finland.

We acted as an advisor to the founding partners of Kide Clinical Systems Oy in a share transaction, April 2018

We acted as a legal advisor to the founding partners in the sale of Kide Clinical Systems Oy’s (KIDE Systems) shares. All shares of Kide Clinical Systems Oy were sold to Topcon Healthcase Solutions Inc. KIDE Systems was established in 2015 in Oulu, and it specialises in delivering cutting edge clinical imaging solutions to the medical industry. KIDE Systems’ platform is utilized in all Nordic Countries and in many Central European countries. The company is headquartered in Oulu, and it has sales and delivery operations in Helsinki.

We acted as an advisor for Oivauni Oy, April 2018

We acted as a legal advisor when Oivauni Oy sold the majority of its shares to Coronaria Oy on 3 April 2018. Following the arrangement, Coronaria and Oivauni offer services for people with sleep problems. The customer base includes private customers, corporate customers and the public sector.

Oivauni Oy was established in 2007. It specializes in the treatment of sleep disorders. The company’s turnover in 2017 was €1 million. Oivauni Oy has three sleep clinics, located in Helsinki, Tampere and Kuopio.

We acted as an advisor for Kaiku Health (NetMedi Oy) in an investment round, April 2018

We acted as an advisor for Kaiku Health (previously NetMedi Oy) and its shareholders when NetMedi organised an investment round to expand its international operations and continue the development of its digital therapeutics pipeline. As a result, Kaiku Health closed a €4.4 million funding round. The investment was led by Debiopharm Innovation Fund SA and Tesi, with the participation of existing investors.

CRYOTECH NORDIC A.S. (CTN) has head quarters in Estonia, and R&D unit in Finland (Cryotech Finland Oy Ltd). CTN (www.cryotechnordic.com) is a market leader in the field of Cryotechnology and non-surgical aesthetic equipment. CTN's Cryocabin innovation allows for the whole body treatment at sub-zero temperatures. Heinonen has assisted CTN in building their patent and trademark portfolio (three patent families and several trademarks), and especially in protecting the company's Cryocabin-related core technology in Finland. Cryocabin-technology related Finnish patent No. 126899 (FLUID CIRCULATION SYSTEM FOR A CRYOCABIN ARRANGEMENT AND RELATED CRYOCABIN ARRANGEMENT) has been obtained in 2017. Patent applications in Europe and the USA are pending.

Heinonen & Co has successfully assisted in protecting Goodwiller’s core technology in Finland and Europe, November 2017

Goodwiller is a Finnish start-up company which has developed an easy-to-use, reliable and disposable test strip for detecting blood alcohol content from saliva (the ratio of alcohol in saliva to the blood alcohol content is 1:1). The test strip developed by Goodwiller functions on the so-called ON-OFF principle and shows whether a person is fit to drive. The test includes a built-in control zone which shows the user that the strip is in working order. Heinonen & Co have advised in compiling a patent and trademark portfolio relating to Goodwiller's test strip invention and have also successfully assisted in protecting Goodwiller’s core technology in Finland and Europe. Goodwiller's test strip was granted the FI126484 and EP2881471 patents in 2017 (Disposable test strip device for analyte detection in body liquid sample).

Heinonen & Co have advised Neurotar Oy in protecting the core technology relating to the apparatus by US and European patents, November 2017

Neurotar Oy is a Helsinki-based company specialising in in vivo brain imaging. The Mobile HomeCage® examination apparatus developed and manufactured by Neurotar has been sold globally. The apparatus makes possible microscopic imaging of the brain of a living and freely moving small animal, such as a mouse. Heinonen & Co have advised in protecting the core technology relating to the apparatus by US and European patents (Mobile platform arrangement) in 2013 (US8485133) and 2015 (EP2712500).

We successfully represented and advised our client Oscare Medical Oy, May 2017

 

We successfully represented and advised our client Oscare Medical Oy, which is Finnish health technology company manufacturing and selling e.g. handheld device for osteoporosis screening in several European and Middle-Eastern markets, against a newly incorporated UK-company Oscare Medical Ltd, which had registered an identical company name. The matter was resolved with the opposing party terminating its business name and signing an undertaking to respect the rights of our client. The matter involved complex cross-border enforcement of IPR rights.

Eversheds represented the seller in Qmedical’s corporate transaction, August 2016

Eversheds represented the seller in a corporate transaction in which Med Group Oy, a social welfare and health care services company, acquired Qmedical, a company operating in the field of specialist dental care. As a result of the transaction, Med Group – which has already grown strongly during the past years – joins the league of major dental clinics chains and can now provide any type dental care all over Finland.

The corporate transaction between Med Group and Qmedical has been signed, and it enters into force after the authorities’ decisions have been completed in October-November 2016.

Eversheds acted as legal advisor for Zora Biosciences Ltd., June 2016

Zora Biosciences is a Finnish diagnostics discovery company. The company identifies robust markers of heart disease and develops them into high-throughput, health-economic value-added clinical methods.
In June 2016 the company announced the signing of an agreement with US origin Mayo Medical Laboratories to collaborate on Plasma Ceramide Testing. The test results may help the patients with coronary artery disease.

Eversheds has assisted and advised the client, Zora Biosciences Ltd., in all legal issues since the establishment of the company.

Eversheds assisted in the purchase of Fimet Oy’s shares, April 2015

Eversheds represented a group of private investors as it acquired the shares of Fimet Oy. Fimet’s announcement on the transaction is available at http://www.fimet.fi/index.php?item=286&ref=263. Fimet Oy produces dental treatment units  for both the Finnish and the international market.
