We advised Aquila European Renewables Income Fund in a wind farm project, December 2019
We acted as legal advisor for Aquila European Renewables Income Fund managed by Aquila Capital as it concluded an agreement with OX2 Construction AB on the construction of the Korkeakangas wind farm in Karstula. The fund acquires the wind farm for a total price of EUR 36.7 million.
The wind farm will comprise nine wind turbines with a total capacity of 43.2 MW. The wind farm will be constructed and will operate without any government subsidies. Electricity production is set to begin in 2021.
We acted as a legal advisor for Valio Pension Fund and Valio Mutual Pension Insurance Fund in the sale of a residential portfolio, December 2019
We acted as legal advisor for Valio Pension Fund and Valio Mutual Pension Insurance Fund in the sale of a residential portfolio located in Helsinki and in Vantaa. The residential portfolio consists of 143 apartments that are located near good connections and services in Konala, Helsinki and Pähkinärinne, Vantaa. The buyer of the residential portfolio is Lumo Kodit Oy (Kojamo).We advised our client in the sale of an office property in Helsinki, October 2019
Eversheds Sutherland acted as the legal advisor of Mutual Pension Insurance Company Ilmarinen in the sale of an office property located in Pasila. The property was acquired by the special investment fund Aktia Commercial Properties.
Esterinportti 2 is a multi-tenant office property with a total lettable area of approximately 9,600 sqm. The purchase price was approximately EUR 24 million.

Eversheds Sutherland advised Mutual Pension Insurance Company Ilmarinen in the sale of Dixi offices, a high-quality multi-tenant office property located in Vantaa-Tikkurila, to PATRIZIA.
The Dixi offices are strategically located in conjunction with the Dixi shopping centre and railway station in Vantaa-Tikkurila, one of the most significant urban hubs of the Helsinki Metropolitan Area. The property has a total lettable area of approximately 14,300 sqm. The purchase price is not public.
We advised Glennmont Clean Energy Fund in a windfarm project, October 2019
Eversheds Sutherland Finland and Eversheds Sutherland UK have advised Glennmont Clean Energy Fund Europe III SCSp in a windfarm project. Eversheds Sutherland offices in the United States and the Netherlands also assisted in the project. Glennmont Clean Energy Fund Europe III SCSp is a clean energy fund managed by Glennmont Partners.
Glennmont Clean Energy Fund Europe III SCSp successfully acquired the company Ilmatar Piiparinmäki Oy from Ilmatar Energy Ltd, marking the fund’s first investment in the Nordic market. Ilmatar Piiparinmäki Oy is constructing the Piiparinmäki windfarm in the municipalities of Kajaani and Pyhäntä. The farm will consist of 41 windmills and have a total capacity of 211 MW. Electricity production is set to begin in 2020.
We advised the client in agreements concerning the project, due diligence review, the preparation and execution of the transaction, and questions pertaining to taxation, competition law and funding.
With respect to the electricity production of the wind farm, a long-term power purchase agreement was concluded with Google, i.e. Tuike Finland Oy. Under the agreement, Google acquires a 125 MW share of the production of the windfarm for its data center in Hamina.
We advised our client in the sale of an office property in Espoo, September 2019
Eversheds Sutherland acted as counsel to Mutual Pension Insurance Company Ilmarinen in the sale of a multi-tenant office property to Elite Finland Value Added Fund II Ky. The property, Vänrikinkuja 2, is located in Leppävaara, Espoo, and has a total lettable area of approximately 5,000 sqm. The purchase price was approximately EUR 7 million.

We acted as legal advisor for Risto Kyhälä, Arto Martonen, Kenneth Kaarnimo ja Merasco Real Estate when they acquired all shares of Kiinteistömaailma Ltd. from Danske Bank via a company in their ownership.
When measured by the number of business transactions, Kiinteistömaailma is the largest real estate brokerage chain in Finland. Kiinteistömaailma employs almost 700 professionals in over 100 real estate agencies around the country. As a result of this transaction, Kiinteistömaailma will have a team of owners consisting of real estate brokerage and business digitalization professionals and experienced entrepreneurs committed to developing the company and building its future growth.
Ficolo – datacenter, April 2019
We represented Ficolo Oy in setting up a datacenter, which will work on colocation basis in former production and warehouse premises (13,500 m²). The premises will go through a thorough transformation into a datacenter. We assisted the client with all the agreements of the project.
The investment will take Ficolo’s business to a new level, place the Helsinki metropolitan area at the forefront of the data center industry in Europe, and improve Finland’s competitiveness as a provider of next-generation IoT and Industrial Internet solutions.
Quadoro Doric - purchase of a central downtown property in Turku, March 2019
We represented Quadoro Doric Real Estate GmbH acting on behalf of AIF Vontobel Sustainable Real Estate Europe in the purchase of a landmark property “Kivikukkaro” in Turku. The property, built in 1975 and refurbished significantly recently, comprises approx. 10,200 m² of leasable area, including prime spaces for retail, office and hospital users as well as over 200 parking spaces. Our mandate covered all the legal measures of the purchaser from LOI and Legal Due Diligence to the negotiations and finalization of the Sales Agreement as well as agreeing on the financing.
Hotel project, Ruby Hotels entering the Finnish market, March 2019
We advised Ruby Hotels & Resorts GmbH in entering the Finnish market and agreeing on their first hotel in Finland; the hotel is also their first one in the Nordics. The new hotel will be located in Helsinki’s Kruununhaka district and is to open in the first quarter of 2021. The hotel will house 142 guest rooms. We advised the client in the agreements with the Finnish project developer ICON Real Estate.
Quadoro Doric - purchase of a landmark property in Helsinki, February 2019
We advised Quadoro Doric Real Estate GmbH acting on behalf of AIF Vontobel Sustainable Real Estate Europe in the acquisition of “Diana”, a multi-use landmark property in Helsinki, comprising apartments, offices and retail space. The building including its impressive façade was erected in 1898. The rental space comprises 3,400 m². This was the client’s first acquisition in Finland. The seller was Svenska Folkskolans Vänner R.F. foundation. Our mandate covered all the legal measures of the purchaser from LOI and Legal Due Diligence to the negotiations and finalization of the Sales Agreement as well as agreeing on the financing.

We acted as legal advisor to the Fennica Toimitilat I Fund, managed by Fennia Asset Management Ltd, in its acquisition of the shares of a mutual real estate company. A commercial real estate known as shopping centre Vihtori, located in the centre of Kuopio, was transferred in the transaction.

We acted as a legal advisor for Isännöitsijäpalvelu Oy and Kiirava Oy in their establishment of a joint company, Provia Isännöinti Oy. As a preliminary measure, we assisted our clients in acquiring the rights to the Provia trade name, which had been reserved for another company. After this we ensured the acceptability of the planned transfers of business and carried out the transaction, i.e. transferred the businesses of Isännöitsijäpalvelu Oy and Kiirava Oy to Provia Isännöinti Oy, which will continue the businesses in question.

We represented the seller, Helsinki University Properties Ltd (Helsingin Yliopistokiinteistöt Oy), in the sale of three real estates located in Helsinki to Hemsö, a Swedish real estate investor. The real estates are leased to Uniarts Helsinki and the total area of the buildings in the real estates is 25.000 m2.
Virtual power plant – we represented Shopping Center Sello in contract negotiations, December 2017
Eversheds Sutherland advised the Sello Shopping Center in negotiating a contract for the construction of a smart energy system at the shopping center. With the solution, the Sello property will be able to produce energy itself with solar panels. The energy consumption of the property can be automatically regulated by purchasing, storing and consuming energy according to the need of any given time.
The solution is the first concrete step towards connecting properties to the virtual power plants of the future; then properties become operators that are comparable to backup power plants in function. The Sello shopping center is the first significant property complex in Finland to be part of the electricity reserve market offered by Fingrid.
Eversheds Sutherland counsel to Otava in a real estate transaction, December 2017
Eversheds Sutherland advised Otava as Otava agreed to sell two office properties in Pasila, Helsinki, with a total area of 17,500 sqm to YIT Corporation. As part of the agreement, Otava simultaneously leased 6,000 sqm from the middle block of YIT’s Tripla, which will be completed in stages during 2019-2021. The transaction is expected to be finalized in 2018 and 2020.

Eversheds Attorneys advised the buyers in a real estate arrangement in which 40 per cent of the shares of a company called Kiinteistö Oy Oulun Alasintie 10 were transferred to the ownership of Yleisradion Eläkesäätiö and 40 per cent to the ownership of Apteekkien Eläkekassa.
The company owns real estate and a newly constructed commercial building in Limingantulli, Oulu, the premises of which are mainly leased to private parties as business and office premises. The aim is to significantly expand the commercial centre by the year 2021.
We acted as advisor for Mikju Oy in a real estate acquisition, June 2017
Our client Mikju Oy bought a valuable piece of real estate at Ratakatu 3, Punavuori, Helsinki. The seller, Senaatti-kiinteistöt, invited tenders and Mikju Oy made the highest bid, EUR 14,050,000. The sale is awaiting approval by Parliament.
The Renaissance Revival building was completed in 1889, designed by architects Selim A. Lindqvist and Elia Heikel. The building has been previously used by, for example, the Ministry of Employment and the Economy. The building's good location enables a variety of uses. Mikju Oy is planning to have commercial and office premises in the lower floors, and premium homes in the upper floors.

Julius Tallberg-Kiinteistöt bought Coriant Oy’s real estates at the address Sinimäentie 6 and Sinikalliontie 7 in Espoo. The total area of the buildings located on the real estates is about 31,000 m2. The buildings are in office, laboratory and storage use. Coriant Oy will remain a tenant in the other property under a long-term lease agreement.
Clarion hotel into Keva’s property in Aviapolis – Eversheds advises Keva, January 2016
An eight-storey Clarion hotel will open in Keva’s property in Aviapolis. The hotel will open in October, and it will have 258 rooms and 10 conference rooms. The Clarion hotel chain is owned by the Norwegian Nordic Choice Hotels. The hotels to be built in Aviapolis and Jätkäsaari will be the first Clarions in Finland. The construction of the hotel is underway, with Skanska as the building contractor. Keva acquired the real estate from Lentoasemakiinteistöt Oyj, a real estate investment company leasing premises at Helsinki-Vantaa and Turku airports.
Eversheds represented Keva in the real estate transaction and contract matters related to the construction.

Eversheds advised Julius Tallberg-Kiinteistöt Oyj as it acquired two properties in Tuusula from private investors. The properties form a unitary whole and are located at addresses Louhostie 2 and Louhoskuja 4. The properties have been leased out with a long lease agreement to Chiller Oy, a leading Finnish manufacturer of heat pumps and refrigeration apparatus.

Eversheds advised Ilmarinen Mutual Pension Insurance Company as it sold a property portfolio comprised of 1,200 apartments (28 residential properties in 15 locations) to OP-Rental Yield fund. The transaction was one of the largest of its kind in Finland in the 21st century.

Juridia Bützow assisted the buyer in a transaction signed on 30 September 2014 in which YIT sold office premises located on Osmontie, Helsinki, to VVT Property Fund I Ky managed by VVT Kiinteistösijoitus Oy. The construction of the six-storey office building on Osmontie in Käpylä started in September 2014. The office building’s floor area is approximately 3,300 square metres, and it will be completed in October 2015. The tenants of the property will include Helen Electricity Network Ltd, among others.

Juridia Bützow advised the pension fund Apteekkien Eläkekassa in a real estate transaction in which the pension fund bought an industrial and warehouse property from Real Estate Fund I Ky managed by Pohjola. The property is located in Kerava. The building was finished in 2009 and consists of approximately 4,000 m2 of leasable area. The location has been rented in its entirety to Dae-Tek Oy, one of the leading importers of construction equipment in Finland.

We represented Keva in the purchase of the commercial property Viihdekeskus IsoCee in the centre of Kuopio from Oy Carlson on 30 April 2014. Keva also owns the adjacent shopping centre Minna.
Special common fund Fennica Toimitilat I, 2013
We acted as the legal adviser for the parties when the Fennia group invested over EUR 50 million in the new special common fund Fennica Toimitilat I. The assets of the fund are primarily invested in Finnish business premises. As the fund was started, it had real estate worth EUR 70 million and contracts of approximately EUR 25 million on subsequent pieces of real estate.

The Halo building has approximately 5700 m2 of office space and sale room. In addition, the transaction included 177 parking rights.
