Transaction services

Our M&A services are fully comprehensive, covering both major international corporations and small private businesses, with services ranging from demanding auction procedures to SME generation transfers. We plan the structure of M&A transactions, perform due diligence auditing, prepare the necessary documents, participate in enterprise sale negotiations, and assist in taking charge of the acquisition efficiently following a sale.

Company law

We supply all of the legal services related to corporate structure and risk management that are required by companies and by their owners and executives. Our services for companies of varying size include chairing the shareholders’ meeting and serving as secretary to the board of directors, administering civil claims under company law and aspects of applications for special auditing, and advising on a wide range of M&A and corporate governance issues. We are also fully conversant with the rights and duties of listed companies under the Securities Markets Act.

Financing

We represent Finnish and foreign financial institutions and investors, and enterprises seeking financing, in various measures concerning financial arrangements. Our client services include planning M&A financing structures and drafting and annotating the associated documents, assisting in associated security arrangements, and clarifying financing regulations. We are also thoroughly familiar with various financial instruments and the regulations that govern them.

Insurance

We provide specialist services in all aspects of insurance law, discharging various assignments in Finland and abroad such as drafting insurance contracts and administering insurance compensation, and managing issues of insurance brokerage, insurance company law, and restructuring in the insurance sector. We act on behalf of insurance companies and their customers
