- Germany
15-06-2022
Eversheds Sutherland has advised Johnson Matthey on a strategic partnership with Enapter AG, a German stock corporation listed on the regulated market of the Frankfurt Stock Exchange that is a pioneer and commercial leader in AEM electrolysis. AEM is a next generation electrolyser technology that aims at driving down the cost of green hydrogen towards a commercial use competitive with fossil fuels.
The strategic partnership of the parties comprises an equity investment by Johnson Matthey in Enapter as well as an agreement dealing with the technological cooperation until March 2026 and beyond. Johnson Matthey has invested approximately EUR 20 million as part of the current capital increase of Enapter. In addition, Enapter and Johnson Matthey agreed on a strategic cooperation in the field of catalysts and membrane development.
Eversheds Sutherland advised Johnson Matthey on the equity investment as well as certain aspects of the collaboration agreement.
M&A partner Maximilian Findeisen commented:
“We are very pleased to have assisted Johnson Matthey with this strategic partnership for the future development of green hydrogen technology.”
The Eversheds Sutherland team led by partner Maximilian Findeisen (Corporate/M&A, Dusseldorf) consisted of Christian Mense (partner), Martin Sanftleben (counsel, both capital markets, Munich), Christian Hilpert (partner, finance, Berlin), Thomas Farkas (counsel, IP, Hamburg), Anne Deike Riewe (counsel, restructuring, Munich) and Maximilian Spitzhorn-Stork (associate, corporate/M&A, Dusseldorf).
