Capital Market Law / Corporate Finance

We can advise you all the way along the value creation chain. This begins on equity capital markets and preparing the company for an IPO, continues with the execution of IPOs and ends with ongoing support on all the consequences.

Our clients include companies listed in DAX, as well as mid-sized companies and various investment banks. Our services concentrate on stock corporation law and capital market law within IPOs, drafting your stock exchange prospectus, public offerings, private placements, block trades (including accelerated book-buildings and auction proceedings) and dual listings.

After an IPO, we offer support on ad-hoc publications, insider trading, employee participation programmes, general shareholders' meetings, satisfaction of notification requirements and the creation and distribution of research reports.

In the area of debt capital markets we offer support on mezzanine financing instruments such as convertibles, exchangeables and participation certificates, as well as pure debt products such as loans, "Pfandbriefe", euro bonds, high yield bonds, medium term note programs, CDO programs or hybrid loans.

Our lawyers are experienced in both the law and investment banking. By fully understanding your business, we aim to provide you with high-quality products specific to your needs.

The Law Firm in Capital Market Law

Preliminary Measures

Intelligent structuring, tax optimising solutions and comprehensive consulting before initial public offerings help to prepare you for this significant step. Together with banks, consultants and the companies themselves, we develop market tailored intelligent solutions with the goal of optimally preparing the company for initial public offering. Our lawyers advise on corporate reorganization, corporate structuring and stock market statutes and help with the removal of eventual uncommon capital market measures. Owners are given tax optimising solutions. Our capital market lawyers support you with their expertise in the banking industry and stock market entry procedures.

Mandates and Contracts

Significant issues of a transaction are determined by the appointment of a bank. Legal advice is especially important for this short contract, but is unfortunately often neglected. Transaction structures, liability regulations and costs are established in this contract. Thanks to their many years of experience, our capital market lawyers understand the negotiation playing field of banks. The later to be closed take-over contract is the core of an initial public offering. This contract, for the first time, obliges the bank to take-over the stocks. We know these market nuances in detail and can provide intelligent solutions when it comes to drafting and negotiating the numerous documents involved.

Due Diligence and Prospectus

International teams from different practice groups of the firm are established to work together on due diligence cases.

When required, we will bring in our international partners. We develop market tailored solutions to problems that take the interests of the company as well as the banks and the stock market into account. Thanks to our knowledge of all aspects of the business, we know the needs and demands of all party members. The prospectus is the sales and liability document which we can develop for the banks as well as for the companies, and assist with the stock market communications. The main goal with this is to develop a correct portrayal of the company and to eliminate prospectus liability risks.

All round support

We establish international employee stock sharing programmes and advise on common Friends and Family stock programmed. Our lawyers advise and consult on the publication of ad-hocs and organise and hold shareholder meetings. We also sit on the supervisory board of numerous listed companies and understand the problems of entrepreneurs from first hand experience.
