Director's and Officer's liability

Directors’ responsibilities and liabilities are becoming increasingly onerous. Directors and officers may be held personally liable to any parties that have an interest in the running affairs of a company, be that a PLC or a limited company. Most directors of a company are aware of directors and officers duties, which are wide ranging and sometimes complex.

Recent Company Law legislation consolidates over 50 years of company law legislation into one specific act.  This approach has been adopted in the UK since 2006.  It fundamentally alters some of the duties and obligations of Directors including an obligation to prepare compliance statements whereby they will confirm that they have put in place arrangements that secure material compliance with relevant obligations under the legislation.
