Banking and Financial Market Law
Our team advises banks, financial institutions, financial market infrastructures and other corporate clients in Switzerland and abroad on issues related to domestic and foreign banking, financial market and supervisory law. Eversheds Sutherland’s global network provides clients access to highly qualified attorneys with industry-specific experience.
Our services cover, among others, the following:
- Advising in the filing of applications with Financial Market Supervisory Authorities in Switzerland and abroad, including preparing the necessary documentation. Our support comprises communication with local supervisory authorities, preparation of the business plan as well as internal rules & regulations, and the design and implementation of a sustainable corporate governance model.
- Supporting clients in analyzing their ongoing compliance needs and implementing measures to satisfy Swiss and international legal and regulatory requirements, for example in the areas of customer protection, market behavior and product transparency (compliance).
- Drafting and reviewing product and contract documents, taking into account respective local legal and regulatory requirements.
- Legal and regulatory assessments relating to corporate governance, outsourcing, product distribution and product governance issues as well as banking, professional secrecy and data protection topics.
- Representing and supporting institutions with respect to internal and external investigations as well as in connection with enforcement mandates by financial market supervisory authorities and investigating agents.
- Assisting clients in the planning and implementation of restructuring and protective measures as well as liquidations.
- Regularly advising clients on ongoing developments (e.g. fintech, e-archiving) affecting the financial sector, and their impact on financial institutions’ business models (i.e. impact assessment, gap analysis).
Working together with attorneys from Eversheds Sutherland’s other practice groups, we also offer legal and regulatory support in the implementation of group-wide and corporate restructurings, portfolio transactions, and mergers and acquisitions in the financial services sector.
