Eversheds Sutherland is one of the most active law firms acting on venture capital transactions in the UK, including initial investments, follow-on funding rounds, convertible debt investments, through to exits via trade sales, buy-outs and IPOs.

We provide a full range of legal services and strategic advice to entrepreneurs and companies seeking capital, venture capital funds, VCTs, corporate venturers, business angels and other early stage investors. We are particularly interested in building relationships that go beyond the first funding round and enable us to use our expertise to support businesses throughout their entrepreneurial journey and beyond.

We are technical partners to the British Business Angels Association, having produced their precedent documents for early stage investments and contributed to their publications through our participation on their Legal and Technical Committee.

Through our Financial Institutions Group, we also have a dedicated team that advises on fund structuring and formation which has worked on a number of fundraisings during the last 12 months, including advising a number of Regional Development Agencies in England and Wales on launching venture capital and loan funds under the EU JEREMIE (Joint European Resource for Micro to Medium Enterprises) initiative.

• Acting for Advantage Creative Fund on the restructuring and acquisition of Pixelearning Limited by Milamber Group.
• Acting for Lumejet Holdings on a number of equity fundraisings from Midven and other private investors.
• Acting for numerous angel investors in early stage companies including Rocketfish Limited, Tablebook Me Limited, Papa Limited, and Midland Wood Fuel Limited.
• Acting for technology companies on funding rounds including Cambridge Semiconductor Limited and ip.access Limited.
