Practice notes
Carsten Brüninghaus is head of our Berlin office and our notary in Germany; he is also a certified specialist lawyer for tax law.
As our notary, he renders all notary services which are required from a commercial law notary. Carsten advises both German and international clients on all matters of corporate law, from the foundation of companies (also start-ups, business angels and venture investors) through advice to individual shareholders and equity financing rounds up to extensive M&A transactions. A main focus of his activity is the provision of support during complex restructurings pursuant to the German Law Regulating the Transformation of Companies (Umwandlungsgesetz, UmwG) (mergers and demergers, changes of legal form).
His work as a notary thus also focuses on corporate, real estate-related corporate and real estate law matters, including the structuring and implementation of real estate transactions and asset successions.
His recent experience includes:
- Regular advice regarding and notarisation of financing rounds from Seed to Series C, including investment and shareholder agreements
- Ongoing advice regarding and notarisation of restructurings and transformations, also of international groups with their participations in Germany, taking into account the tax implications
- Accompanying and notarisation of real estate transactions of national and international investors within the framework of asset and share deals
- Structuring and implementation of asset successions, also involving minors
