Practice notes

Sam is an Associate in our Intellectual Property group and advises clients in all sectors on both contentious and non-contentious matters.

Sam is responsible for a range of non-contentious work, including advising on brand management issues, drafting and negotiating a range of commercial IP agreements relating to the use and exploitation of IP (including confidentiality, licence, R&D, sponsorship, distribution, manufacturing and collaboration agreements) and all IP aspects of corporate transactions. Recent examples of this work include:

  • Advising Ingevity Corporation on all IP aspects of its €590m acquisition of Perstorp Group’s caprolactone business as part of a cross-border team;
  • Reviewing and negotiating a patent licence and services agreement in relation to a private equity house’s investment in a biotechnology business;
  • Drafting a patent licence and assignment for a leading UK university in respect of a patent jointly owned with a Chinese institution relating to an invention for novel cancer treatments;
  • Drafting a product development agreement for a leading utilities company;
  • Drafting a number of sponsorship agreements for a leading UK sports retailer in respect of its sponsorship of various social media influencers and sportsmen; and
  • Corporate support work across all sectors including drafting IP warranties, due diligence reports, confirmatory assignments, post-completion licences (transitional or otherwise), portfolio management prior to acquisitions and post-sale brand protection.

In addition, Sam has experience in relation to IP infringement claims and other contentious IP matters relating to copyright, trade marks, designs and passing off.

Sam's recent contentious experience includes assisting on a comparative advertising dispute involving two global cosmetic manufacturers and drafting a number of cease and desist letters on behalf of clients within the retail, advertising and energy sectors.
