Mark Dennison advises sponsors, lenders and governments on the structuring, financing and operational aspects of international infrastructure projects. 

He is recognized in the Legal 500 as a "leading individual" in the infrastructure sector.

Mark is a finance lawyer and Head of Infrastructure within the firm's Governments and Infrastructure sector. He is based in our London office.

He advises lenders, funds, sponsors, developers and governmental agencies across transformational infrastructure projects of all types, including social infrastructure (housing, prisons, schools, hospitals), digital infrastructure, logistics/distribution, transport, renewable energy (all technologies including offshore and onshore wind, biomass and solar photovoltaics), water, and defense. His work is across all stages of the project life cycle from initial development through to bid submission, and financial close through to final repayment and decommissioning.

Mark has advised extensively on projects that have been terminated or restructured as a result of performance issues, contractor insolvency, unforeseen events such as a major fire and as a consequence of COVID-19.

Mark has acted on a number of major transactions for both private and public sector
clients, including:

  • most London-based infrastructure lenders in relation to the transition from LIBOR to Risk-Free Rates for several £billion of UK infrastructure projects
  • the Aberdeen Standard/Acciona Consortium in relation to its bid for the £500m final section of the A465 Road Project, Wales
  • commercial lenders in relation to the £2.6bn Beatrice Offshore Wind Farm
  • GuarantCo in relation to guarantees of senior and mezzanine debt for Lot 3 of the $2.6bn Road Annuity Program, Kenya
  • Welsh Water in relation to its ongoing development of a £500m+ waste water facility — one of the largest new project finance transactions in UK infrastructure outside offshore wind in 2022
  • Equitix and Greenvolt on the acquisition financing of Tilbury Green Power
  • Gresham House in relation to its new debt facility for a portfolio of battery storage projects
  • a well-known offshore wind developer on the joint development and financing of two extension projects
  • senior lenders in relation to the M40 Road Project following the collapse of Carillion
  • the financial guarantor in relation to guarantees of infrastructure finance for CRDB Bank, Tanzania
