Rachel is a Principal Associate in the Eversheds Company Commercial team in London, specialising in outsourcing and other major commercial transactions. Rachel has gained experience advising on the following matters:
- advising a major UK high street bank on a number of high value technology arrangements;
- advising Anglo American on three global outsourcing contracts for (1) IT application development and application management services, (2) managed networked IT services and (3) IT infrastructure;
- advising on the drafting of three significant change control notes to the three matters summarised above in order to bring certain members of the De Beers group of companies within the scope of those agreements;
- advising the Bank of Ireland UK plc on a long term financial services partnership in the UK with AA plc across a product portfolio of credit cards, unsecured personal loans, savings and mortgages;
- advising Threadneedle Asset Management on the second generation outsourcing of its fund accounting and administration, investment operations, share class hedging, stock lending and custody and depository functions in respect of its UK and Luxembourg domiciled funds to a major US bank. The assets under management were circa £70bn and the funds were distributed globally;
- advising Lloyds Banking Group on its renegotiation of its Microsoft contract suite for on premise and cloud based services; and
- advising National Grid on the £13.8bn divestiture of its gas distribution business.
Rachel has a wide range of experience on technology deals including system development transactions, licensing arrangements and e-commerce projects.
Rachel completed a 6 month secondment to the HSBC Global Legal Team where she advised on a number of global technology agreements including drafting and negotiating an agreement for the role out of in-branch wifi at over 800 HSBC branches.
