Sarah is a senior associate in our corporate commercial practice group and has experience in a wide array of complex corporate and commercial matters.
Sarah advises on all aspects of transactional work, from the preliminary stages to post - completion. She took the lead in drafting and negotiating the shareholders agreement and license agreement for and was heavily involved in the incorporation of the first credit bureau in Jordan. She also takes the lead in drafting, reviewing, negotiating and advising on various contractual arrangements including but not limited to construction (including FIDIC - based) contracts, financing documents (including a US$98m facility arrangement for the construction of a prominent hotel in Jordan), supply agreements, licensing, distribution, concession, and joint venture agreements.
Sarah advises local, regional, and global clients on their strategic commercial arrangements and matters which are business - critical for them.
More recently, Sarah has been heavily involved in working alongside the firm's TMT clients, with a special focus on financial technology providers. She is also an associate member of the London Chartered Institute of Arbitrators.
A selection of Sarah's experience includes:
- advising Ahli Fintech, a wholly owned subsidiary of one of the leading retail banks in Jordan on the launch of an e-KYC-as-a-service as well drafting and negotiating the subscription agreement and user terms and engaging with the regulators to obtain necessary approvals
- assisting with commercialising e-payments service for Ahli Bank and drafting merchant acquirer agreement and user terms and conditions
- outsourced to a UAE telecom provider where Sarah assisted the client on a digital transformation project as well as IT sourcing contracts
- advising Crown Prince Foundation and its subsidiaries on strategic commercial mandates
- advising a leading bank in Jordan (with branches in other countries) on IT infrastructure agreement and software license and support services agreement for a core banking system
