Annie, an Of Counsel in the Hong Kong office, is renowned as a resourceful and seasoned trade and finance lawyer in the industry.

Her strength lies in structuring, bridging gaps and product development with focus on receivables finance, supply chain, bills discounting, e-commerce and platform financing.

She works closely with foreign counsel across the globe to deliver solutions within any restrictive local regulatory framework and is able to provide practical advice to you if you seek to lend against receivables, instruments, goods or assets originated in those regions. Annie has ready access to the market intelligence and possesses an in-depth understanding of risk and credit assessment. She will be highly effective to help you moderate varying views amongst internal stakeholders and external parties.   

She helps financial institutions, factoring houses and large corporations like yours develop product documents and transactional documents tailored for your line of business. Since 2005, she has developed a spectrum of clientele, including major trade banks (more than 10 local and international banks) and factoring houses across the globe with assets and receivables located in Asia, South East Asia, Middle East, Europe, US, Latin America and Africa involving corporations such as Spanish fashion retainers, US home improvement retainers, Dow Jones index companies and Fortune Global 500 companies.

Annie’s experience covers the following areas:

  • conventional core trade business such as letter of credit, demand guarantee, standby letter of credit, trust receipt loan, pledge and shipping guarantee
  • factoring, re-factoring, reverse factoring and 'back to back' factoring
  • receivables finance (recourse or limited recourse)
  • bills and instruments discounting
  • platform financing initiated by platform operator or financing institutions
  • supply chain solution - payable, receivable model or hybrid
  • bilateral/syndicated trade credit insurance review and negotiation
  • assets distribution and re-distribution
  • cross-border property loans
  • e-bill of lading and electronic transport documents

Annie is also a regular speaker at trade finance and/or receivables trainings for banks and institutions.

Annie’s recent experience includes:

  • advising an international bank to re-structure its supply chain solution for a Spanish fashion retainer. The new model migrates the traditional L/C issuance business to a USD250 million one-stop guarantee issuance and supply chain facility.
  • advising an international bank on its without recourse bill discounting agreement – the bill is drafted and issued by a government controlled Saudi Arabia company under a Power of Attorney in favour of a Korean oil conglomerate. Together with the support from the ME office, Eversheds assists the bank to successfully discount a single USD89 million bill without recourse.
  • advising a world’s major trade bank to offer a ‘reverse’ factoring transaction to its major India client as employer of various infrastructure and consultancy projects involving suppliers located in Korea, US, UK and France. The aggregate project amounts exceeds USD2 billion, all financed by the same bank at various stages. Eversheds’ US office and Paris office were involved.
  • advising an Asian bank to successfully acquire Indian based technology telecommunication receivables setting up a single obligor facility line of USD130 million.
  • advising an international bank on re-distributing receivables assets from its US office to HK office involving assets valuing over USD110 million.
  • advising on a world’s trade bank to offer financing to platform merchants leveraging on the goods monitoring services by platform operator/logistics company and the payment management services integrated in the platform. This is the first deal of this type in Hong Kong.

 

She (as co-author) has written the Hong Kong Chapter of the International Comparative Legal Guide Series on securitization in 2011 for Global Legal Group.

She is an accredited mediator of the Law Society of Hong Kong (not practising).
