Practice notes

Anisha is an associate in the Tax team. She has advised on a wide range of direct real estate and corporate real estate transactions, including sale, acquisition and winding up of JPUTs and other foreign property holding structures, forward funding transactions, acquisition, development and sale of student accommodation and build to rent. She has been involved in advising private equity investors, real estate funds (such as PAIFs) and property developers on high value and complex projects.

She also advises on SDLT, VAT and direct tax on a regular basis, including TOGC transactions, portfolio sales and lease renewals.

Her recent experience includes:

  • Jointly advising a multinational investment bank and a pension fund on the highly complex £380m funding and acquisition of Croxley Park, Watford from Columbia Threadneedle, using the investment income as a base to create bonds for onward sale.
  • A large institutional investor on their joint investment with John Laing of long-term development finance through an income strip deal of student accommodation at the University of Brighton.
  • A global leader in private equity, with $159 billion in assets under management through our opportunistic and private equity segments on their sale of the iconic Adelphi Building by way of corporate sale of the Luxembourg sarl for c£550 million.
  • A British multinational financial services company; specialising in investment management, lifetime mortgages, pensions, annuities, life assurance, and general insurance on the purchase and simultaneous income strip lease to local council of property in Weston super mare for c£21 million.
  • A top 20 global asset manager and the UK’s largest provider of individual life assurance products on the sale of the prime London office scheme Procession House by way of corporate sale of the Jersey Property Unit Trust to a JV between Goldman Sachs and Greycoat.
  • A non-ministerial department of the UK Government on the relocation and consolidation of the government’s regional offices as part of the Government Hubs Programme.

Advising corporate and private clients, both UK and international, on the direct and indirect tax implications of property driven transactions.

Providing transactional property tax advice to numerous institutional funds / REITs.

Structuring real estate investments, which included advising a pension fund on a property development joint venture, advising foreign individuals on collapsing their existing UK property holding structure, structuring effective investments by a PAIF, and advising an authorized unit trust scheme on changing its trustee / tax residence.
