Ryan is a senior associate in the Corporate Department.
He is a corporate and equity capital markets (ECM) lawyer who helps clients navigate all aspects of corporate law and transactions along with advising on ECM rules and regulations.
Irrespective of your position in the market, sector or your corporate need, Ryan can advise you across the full spectrum of corporate law matters and transactions. This includes mergers and acquisitions, corporate governance, complex and contentious corporate matters, joint venture and shareholders agreements, partnership arrangements, group reorganisations, general company law queries (e.g. use of the summary approval procedure, capital reductions and mergers by absorptions) and commercial agreements. Ryan has acted for clients in diverse sectors including renewable energy, real estate, retail and financial services.
Another aspect of Ryan's role includes working as part of the equity capital markets (ECM) team within the Corporate Department. Should you be seeking advice in this area, Ryan is well placed having advised in respect of initial public offerings (IPOs), takeovers, secondary placings and debt listings. He also advises listed plcs on their obligations under relevant listing rules and regulatory legislation including the Irish Takeover Rules, the Market Abuse regime and the Prospectus Regulation.
Over the last number of years, Ryan has co-authored the Irish chapter of the Lexology: Getting the Deal Through publication with Lee Murphy in respect of IPOs.
Ryan is an active member of both Law Society of Ireland and the Law Society of England and Wales (non-practicing) and a member of committees within Eversheds Sutherland, including the Pathways committee which promotes female leadership and inclusion.
Ryan's recent client experience includes:
M&A
- assisting the owners of Joyce's Supermarkets in respect of the sale of the business (encompassing ten retail stores in Galway) to Tesco Ireland. Amongst other aspects, Ryan led on the transitional services agreement workstream.
- acting for Fexco and the trustees of the Goodbody Employee Benefit Trust in respect of their sale of the Goodbody group of companies to AIB for €138 million. This was a highly significant transaction for all parties involved and more broadly within the Irish economy and had numerous diverse workstreams and considerations including regulatory, transactional and trustee aspects.
- leading all corporate aspects of the acquisition by Enercon of an Irish company whose main asset is a site in Co. Mayo which has the benefit of planning permission for the construction and operation of a 2.55MW wind farm.
Group Reorganisations and JV matters
- regularly advise the Ronan Group in respect of joint venture arrangements and agreements to including in respect of Spencer Place.
- acting for Natural Forces Renewables Ireland Limited in relation to its establishment of, and 80% majority investment into, a joint venture entity established in order to develop up to 10 small renewable energy projects in Ireland, totalling 30-40 MW, that would be eligible to participate in the Irish Government's RESS community development programme.
- recently advising clients such as the AECOM Group, G4s plc and the Breedon Group on the structuring and implementation of the Irish aspects of intra-group reorganisations.
ECM
- assisting Goodbody Stockbrokers in connection with its role as Joint Bookrunner and Sponsor to Yew Grove REIT plc in connection with its successful step up from the Euronext Growth market of Euronext Dublin to the regulated market of Euronext Dublin and connected secondary raise.
- acting for CyrusOne in respect of a debt listing by its newly incorporated Irish entity CyrusOne Europe Finance DAC of €500,000,000 1.125% Senior Notes due in 2028.
- advising Investec Bank plc (as ESM Advisor, Bookrunner and Financial Adviser) in respect of Yew Grove REIT plc's €75 million IPO on AIM and the Euronext Growth market of Euronext Dublin.
- acting for Escher Group Holdings plc in relation to the £35.32 million recommended cash offer made by a Hanover Entity and subsequent implementation.
