Piotr Kowalik is an Of Counsel in the Capital Markets and M&A team at the Polish office of Eversheds Sutherland.
Piotr specializes in issues related to sustainable finance and sustainable investments, and ESG (Environmental, Social, Governance) in general. He combines this area with capital markets law and regulations concerning investment firms and financial instruments trading.
He has over 15 years of experience in legal advisory for business. Prior to joining Eversheds Sutherland he worked with leading international and Polish law firms, and a global consulting firm.
Piotr supports clients in implementing the idea of sustainable development and accommodating ESG components, in particular in relation to an influence of new regulations regarding sustainable finance and reporting on investment and financing projects.
He advised on equity transactions on capital markets, in particular in public offerings and public tender offers, including over 20 stock exchange debuts. He has extensive experience in cross-border public offerings of shares and the introducing of foreign issuers' shares on the Warsaw Stock Exchange. He has an extensive experience in advising on the fulfillment of disclosure obligations by issuers and buyers of financial instruments. He also advised under corporate law on issues related to relations within capital groups, including decision-making processes and information flow. He supported a client in the unique process of obtaining a permit to conduct brokerage activities in Poland by Chatham Financial Europe in connection with Brexit. Piotr also advised on transactions related to works of art.

- Advising Chatham Financial Europe on obtaining a permit from the Polish Financial Supervision Authority to conduct brokerage activities in Poland in connection with the reorganization of Chatham's operations in the EU in the context of Brexit.
- Advising Globalworth on the conclusion of an agreement to acquire a controlling stake in Griffin Premium Real Estate (GPRE) and a tender offer for the sale of the company's shares on the WSE.
- Advising Polimex-Mostostal in connection with the issue of shares as part of financial and ownership restructuring.
- Advising Uniwheels, a German holding company, producer of alloy wheels, in connection with the IPO in Poland and floating the shares to trading on the Warsaw Stock Exchange, and then in the tender offer and withdrawal from trading on the WSE.
- Advising Kofola in connection with a change in the Group's structure, as a result of which the Czech company became the parent company of the Group, and advising in relation to the IPO in Poland, the Czech Republic and Slovakia and the introduction of shares to public trading on the stock exchanges in Prague and Warsaw.
- Advising the State Treasury on an attempted takeover of Grupa Azoty by another shareholder.
- Advising Citi and ING in connection with the accelerated book-building (ABB) process for the sale of 12% of shares in Zakłady Azotowe w Tarnowie-Mościcach by the Polish State Treasury.
- Advising Fortuna Entertainment Group, a group from the gambling industry from Central Europe, in connection with the IPO in Poland, the Czech Republic and Slovakia and floating the shares to public trading on the Prague and Warsaw stock exchanges.
- Advising Therme Group on the creation of a joint-venture aimed at commercialization and exploitation of copyrights to the flying sculpture "Franchise Freedom" by Studio Drift group.
