Practice notes

Carl joined Eversheds Sutherland in July 2016 after completing a full-time practical legal training course offered by the Law Society of South Africa.

He was admitted as an attorney of the High Court in September 2017 and currently practices as an associate in the commercial department. He has experience in various aspects of corporate and commercial structuring, M&As, competition law and advising tech start-ups.

Carl’s recent experience includes:

  • Advising Park Hotels & Resorts Inc. a company listed on the New York Stock Exchange, through its subsidiary, on the disposal of its property-owning interest in the Durban Hilton Hotel. The transaction comprised a gross purchase price of USD 33.85 million, subject to adjustments and additional recoveries. The transaction was recognised by DealMakers as the second highest by deal value in South Africa for unlisted deals in Q1 2018.
  • Advising public company RCL FOODS Limited, a leading African food producer operating across South Africa, Swaziland, Namibia, Botswana, Uganda and Zambia, on:

        - A merger involving a logistics company based in Zambia;

        - The Competition Law implications of a merger involving the disposal of production lines of a food 

           manufacturing facility to a competitor; and

        - The disposal of an engineering consultancy firm based in the UK.

  • Advising a private company based in South Africa and Mauritius on a high-value merger involving a UK based private equity firm.
  • Advising a local logistics company in a joint-venture with an Italian software developer involving the development of proprietary software.
  • Advising various tech start-ups and drafting online terms and conditions for mobile applications and websites.
