Practice notes

Ivan Kaisarov has extensive experience providing legal support to international and Russian clients.

He mostly gives advice on corporate, commercial and M&A issues and assistance in drafting contracts, corporate documents and in providing full transactional support. Ivan has experience conducting legal due diligence and corporate investigations involving complex commercial and regulatory issues. He gives advice regarding the incorporation and operation of Russian companies, as well as currency control compliance.

Ivan also has several years of experience advising clients on intellectual property issues, privacy and data protection, including:

  • Bringing a company in compliance with personal data regulation and advising on different personal data issues;
  • Introducing different internal confidentiality regimes for information held by companies;
  • Identifying intellectual property in need of protection, formalizing IP ownership and identifying legal risks in the area of intellectual property;
  • Developing a protection strategy for intellectual property against violations by third parties and drafting appropriate documents in this regard;
  • Drafting license agreements and agreements on the alienation of exclusive rights and advising on registration issues with the Russian patent authority.

Also, Ivan gives advice on different employment law matters, including redundancy, dismissal, background checks, processing of employees’ personal data, and monitoring of employees’ labor activity. He helps clients to draft regular employment contracts and employment contracts with top-managers, internal regulations and other relevant documents.

Ivan’s main recent projects include:

  • providing full transactional support to Rolls-Royce for the Russian segment of the sale of its Marine Business to Kongsberg Gruppen ASA. Ivan helped our client gather documentation required for the transaction in Russia, drafted local share purchase agreements and other transactional documents, and advised on various other issues related to the Russian segment of this international acquisition (
  • Bringing a client company to full compliance with Russian personal data regulation, which included interviews with different departments of the company to identify actual business processes and to review the internal circulation of information, and drafting all documents related to personal data protection based on the information received (policies, internal documents, contract provisions etc.)
  • Conducting a complex legal due diligence review of portfolio companies for venture investors,  to ensure among other goals a secure formalization of investors' rights when using various legal instruments related to venture capital investment;
  • introducing a confidentiality regime in major Russian companies, including a commercial secrets regime, using both legal and technical methods of control over information flows in the company;
  • identifying and obtaining formal protection for intellectual property, identifying legal risks in this area and how to mitigate them, structuring the relationship between companies of a Holding Group in the field of power engineering.

In September 2015, Ivan obtained his Master’s degree in Law from Saint-Petersburg State University and is now completing a PhD at the same university.

Ivan often holds keynotes at Eversheds Sutherland’s events and business breakfasts and is also a frequent speaker at meetings of the American Chamber of Commerce in Russia, as well as participating in seminars and forums on a wide range of legal issues.
