Andre is a Senior Associate in our Tax group.

He has extensive experience advising large corporates and multinational corporations on a wide range of Irish corporate and transactional tax matters, particularly with respect to M&A transactions, corporate reorganisations and restructurings, and inward investment into Ireland. His experience in this regard includes multiple buy-side due diligence investigations, the management of multi-jurisdictional engagements, vendor due diligence investigations, acquisition structuring advice, SPA and Tax Deed reviews.

In addition to the above, Andre also has experience in tax dispute resolution, transactional VAT and Irish Stamp Duty.

Andre’s recent experience includes:

• Advising an international client on the acquisition of an Irish target company as part of its Irish expansion. The engagement included advising on a tax efficient acquisition structure as well as the retention and roll-up of current management in the wider group shareholding structure.

• Advising a domestic client operating in the healthcare and retirement home industry on the acquisition of multiple target entities in order to increase its Irish business holdings. The engagement included advising on an optimal funding structure and the deductibility of interest expenditure on debt funding used to fund the acquisitions, repatriation of funds and the settlement of intra-group loans.

• Advising an international Private Equity fund on the acquisition of an Irish target entity operating in the healthcare and retirement home industry.

• Advising a client in the telecoms industry on multiple acquisition transactions of Irish targets.

• Advising a client operating in the courier services industry in relation to an internal group reorganisation consisting of a merger by absorption.

• Advising client in the information technology sector in relation to the establishment and maintenance of their debt push down structure and interest deductibility in respect of debt used to acquire shares in target companies.
